(NASDAQ: GBNH) ("Greenbrook" or the "Company"), today announced that it has entered into securities purchase agreements with  institutional investors for the purchase and sale of 6,000,000 common shares at a purchase price of $0.20 per share pursuant to a registered direct offering, resulting in gross proceeds of approximately $1.2 million before deducting placement agent commissions and other estimated offering expenses.

The closing of the offering is expected to occur on or about February 26, 2024, subject to the satisfaction of customary closing conditions. The Company intends to use the net proceeds for working capital as well as for general corporate purposes.

A.G.P./Alliance Global Partners is acting as the sole placement agent for the offering.
