4 terms
memorandum of association regulatory
"that the Company's Seventh Amended and Restated Memorandum of Association and Articles of Association are amended"
A memorandum of association is a foundational legal document that creates a company and sets out its basic identity and powers — such as its name, purpose, share structure and the extent of owners’ liability. For investors it matters because it defines who can own what, what the company is allowed to do, and the limits on shareholder rights and protections; think of it as the company’s birth certificate and rulebook that affects ownership, risk and governance.
articles of association regulatory
"Seventh Amended and Restated Memorandum of Association and Articles of Association are amended and restated"
A company's articles of association are its written rulebook that sets how the business is run, how decisions are made, and what rights owners and directors have—covering voting, meetings, appointment and removal of directors, share classes and dividend policies. For investors, these rules matter because they determine how easily control can change, what protections minority owners have, and how corporate actions (like issuing new shares or changing leadership) are approved, much like a home’s bylaws shaping what residents can and cannot do.
special resolution regulatory
"including (i) a special resolution that the Company's Seventh Amended"
A special resolution is a formal shareholder vote that requires a higher-than-normal majority—typically around three-quarters—to approve major corporate changes, such as altering the company’s governing rules, selling the business, or winding it up. It matters to investors because it signals decisive, potentially value-altering actions that cannot be passed by a simple majority; think of it as needing extra votes to change the rules of a club, so minority interests are harder to override.
ordinary resolutions regulatory
"and (ii) ordinary resolutions that each of Mr. Chi Liu, Mr. Haishan Liang"
An ordinary resolution is a decision put to a company’s shareholders that is approved by a simple majority of votes cast, similar to a club decision passed when more than half the members agree. It covers routine matters such as electing directors, approving annual accounts or declaring dividends, and matters approved this way bind the company. Investors care because ordinary resolutions determine everyday governance and can change leadership, financial distributions, or policies with only majority support.
