Key Terms

investor rights agreement, top-up right, statutory 4-month and one day hold period, brownfield, +1 more
5 terms
investor rights agreement financial
"further to its investor rights agreement dated March 7, 2025"
A legally binding contract between a company and its investors that spells out investors’ core protections and privileges—such as voting rights, how and when shares can be sold, information access, and steps for resolving disputes. Think of it like a rulebook or homeowner association agreement for ownership: it clarifies who gets a say, how value can be realized, and what protections exist if things go wrong, making investment risks and expectations clearer for shareholders.
top-up right financial
"intention to exercise their "top-up right" as it relates certain share issuances"
A top-up right lets an existing shareholder buy extra shares in a future offering so their percentage ownership in the company doesn’t shrink. Think of it like being offered an option to buy more slices of the same pie when the baker makes a bigger pie, so your share stays the same; for investors, it protects influence and potential returns when new shares are issued.
statutory 4-month and one day hold period regulatory
"subject to a statutory 4-month and one day hold period in Canada"
A statutory 4-month and one day hold period is a legally required freeze on resale of certain securities for four months plus one day after they are issued or transferred. Think of it as a cooling-off or lockbox that prevents early selling; it matters to investors because it limits short-term liquidity and can affect share supply, price volatility and the timing of when holders can convert paper into cash.
brownfield technical
"used for project development at the Company's brownfield polymetallic projects"
A brownfield is a property or site that has been previously developed or used—often with existing buildings, infrastructure, or environmental contamination—and is being reused, redeveloped, or expanded rather than built on from scratch. For investors it matters because brownfields can offer cost and time savings compared with starting new (like renovating an old house versus building one), but they also carry risks such as cleanup obligations, regulatory delays, and hidden expenses that affect returns and timelines.
polymetallic technical
"project development at the Company's brownfield polymetallic projects"
Polymetallic describes a rock, ore deposit, or mine that contains several different commercially valuable metals together, such as copper, zinc, lead, gold or silver. For investors it matters because a polymetallic deposit can spread revenue across multiple metal markets—like a fruit basket with different fruits—reducing dependence on one commodity’s price but often adding processing complexity and varying costs and risks.
