reinvestment period financial
A reinvestment period is a set span of time during which profits, dividends, loan repayments or sale proceeds must be put back into the same fund, project or company instead of being paid out to investors. It matters because it changes when and how investors receive cash and how quickly their investment can grow or be redeployed—like a garden where harvested seeds are required to be planted again for several seasons before you can take crops out for personal use.
plan of liquidation regulatory
A plan of liquidation is a formal outline describing how a company will wind down operations, sell its assets, pay creditors, and distribute any remaining cash to shareholders. It matters to investors because the plan determines the order and amount of payments—like a checklist for emptying a store and splitting the proceeds—which affects how much, if anything, investors and creditors receive and how quickly they will get paid.
dissolution date regulatory
The dissolution date is the official day a company legally ceases to exist, like the closing day when a shop shuts its doors for good. It matters to investors because it typically signals the end of trading rights and the start of settling obligations — assets may be sold and any remaining proceeds distributed to creditors and shareholders, affecting whether and how much investors recover.
liquidating distributions regulatory
Payments made to shareholders from a company’s remaining cash or asset sale proceeds when the business is being wound up or reorganized. Like splitting the money after selling a shared house, these distributions return investors’ capital (often after creditors are paid) rather than representing regular profit payouts, so they matter because they determine how much investors recover and can affect tax treatment and final investment value.

NEW YORK--(BUSINESS WIRE)-- Blackstone Senior Floating Rate 2027 Term Fund (NYSE: BSL, the “Fund”) announced that the Fund’s Board of Trustees (the “Board”) approved an extension of the Fund’s reinvestment period (the “Extension”). The Fund continues to have a limited term and is scheduled to dissolve on or about May 31, 2027 (the “Dissolution Date”). The Extension will permit the Fund to continue to reinvest proceeds generated by maturities, prepayments and sales of investments until the effective date of any plan of liquidation the Board adopts. Previously, the Fund’s reinvestment period was scheduled to end one year prior to the Dissolution Date (i.e., May 31, 2026).

The Extension was approved by the Board based on the recommendation of Blackstone Liquid Credit Strategies LLC, the Fund’s investment adviser (the “Adviser”). The Extension is intended, among other things, to enable the Fund to continue to generate income by making new investments until the effective date of the plan of liquidation, consistent with the Fund’s investment objectives. Absent the Extension, the Fund would have been unable to reinvest proceeds received from its loan portfolio after May 31, 2026, would likely have caused the Fund to liquidate its holdings well in advance of the Dissolution Date, resulting in a higher concentration of risk in the Fund’s loan portfolio. The Adviser believes the Extension will benefit shareholders through continued income generation and risk management until a plan of liquidation adopted by the Board becomes effective, and that the Fund will be able to complete an orderly liquidation by the Dissolution Date.

Potential Risks and Disclosure

Although the Adviser expects that the period between the effective date of the plan of liquidation (when the extended reinvestment period will end) and the Dissolution Date will be sufficient to liquidate the Fund in an orderly manner, there can be no assurance that the Fund will not face adverse market conditions during this period that could impact its ability to do so. During the extended reinvestment period, the Fund will continue to be subject to the risks related to its investment program. See the “Important Disclosures” section of the Fund’s website (www.blackstone.com/bxci-closed-end-funds) for additional information about the risks of investing in the Fund. Shareholders of the Fund are not expected to begin receiving liquidating distributions from the Fund until after the effective date of a plan of liquidation adopted by the Board.
