proxy solicitor financial
A proxy solicitor is a professional firm or individual hired by a company or a shareholder to contact other shareholders and gather their votes or signed proxy cards for an upcoming shareholder meeting. Think of them as paid canvassers who explain proposals and collect votes; their work can determine outcomes like board elections, mergers, or policy changes and signals how contested or important a vote is to investors.
declassify the Board regulatory
Declassify the board means changing a company's board of directors from a staggered setup—where only a portion of directors face election each year—to a structure where all directors are elected annually. For investors this matters because it makes the board more directly accountable and responsive, like replacing a multi-year rotating club leadership with yearly elections, and it can speed corporate change or make hostile takeovers easier to pursue.
advisory vote regulatory
An advisory vote is a shareholder poll that expresses investors’ approval or concern about a company’s policy, executive pay, board decisions or other governance matters but does not legally force the company to act. Think of it like a customer survey: it signals investor sentiment and can pressure management to change course, so investors watch the result as a guide to future governance, risk and potential shifts in strategy.
Form 8-K regulatory
A Form 8-K is a report that companies file with the government to share important news quickly, such as changes in leadership, major business deals, or financial updates. It matters because it helps investors stay informed about significant events that could affect the company's value or stock price.
U.S. Securities and Exchange Commission regulatory
The U.S. Securities and Exchange Commission is a government agency responsible for overseeing the stock market and protecting investors. It sets rules to ensure that companies share truthful information and that trading is fair, helping to maintain trust in the financial system. This oversight is important because it helps prevent fraud and ensures that investors can make informed decisions.

LAS VEGAS--(BUSINESS WIRE)-- Cannae Holdings, Inc. (NYSE: CNNE) (“Cannae” or the “Company”) today announced the preliminary results of the Company’s 2025 Annual Meeting of Shareholders. Based on estimates by the Company’s proxy solicitor, Cannae’s shareholders are expected to elect James B. Stallings, Jr., Barry B. Moullet, Mona Aboelnaga and Chérie L. Schaible, to the Company’s Board of Directors (“Board”). The Board thanks Erika Meinhardt and Frank P. Willey for their exceptional contributions to Cannae.

Doug Ammerman, Cannae’s Chairman of the Board, commented, “We appreciate our shareholders’ continued support of Cannae and our strategy to deliver long-term shareholder value, and the constructive feedback that we received throughout this process. We remain committed to increasing our share price and closing the discount to NAV. On behalf of our Board, I would like to thank Erika and Frank for their leadership. I would also like to welcome Mona and Chérie to the Board, and I look forward to working with them to drive shareholder value.”

Additionally, the Company’s shareholders approved the proposals to declassify the Board and to ratify the appointment of Cannae’s auditor. The Company’s shareholders did not approve the advisory vote on the compensation of the Company’s named executive officers or a shareholder proposal on engaging an investment banker.

The results announced today are considered preliminary until final results are tabulated and certified by the independent Inspector of Elections. The final certified results are expected to be provided in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the “SEC”).
