Trump Media & Technology Group and TAE Technologies Announce Effectiveness of Form S-4 Registration Statement for Proposed Merger

The proposed combination would leave existing TMTG shareholders with about half of the combined company on a fully diluted basis.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Trump Media & Technology Group (DJT) announced SEC effectiveness of its share-registration statement for the proposed all-stock merger with TAE Technologies. The Form S-4 registers TMTG shares to be issued to TAE stockholders, and TMTG has filed its definitive proxy statement/prospectus and consent solicitation statement. At closing, TMTG shareholders and TAE stockholders are each expected to own about 50% of the combined company on a fully diluted basis, accounting for potential additional shares.

TMTG will hold a special shareholder meeting on December 14, 2026, at 9:15 a.m. ET to vote on merger-related proposals. TAE will seek its stockholders’ approval by written consent. TMTG expects closing by year-end 2026, subject to both companies’ required shareholder approvals and satisfaction or waiver of other applicable closing conditions.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

form s-4, proxy statement/prospectus, consent solicitation, fully diluted basis
4 terms
form s-4 regulatory
"registration statement on Form S-4 related to the previously announced merger"
A Form S-4 is a legal document that companies file with the government to announce and explain a major business move, such as a merger or acquisition. It provides detailed information to help investors understand how the deal might affect the company's value and future prospects, similar to a detailed blueprint that clarifies the impact of a significant change.
proxy statement/prospectus regulatory
"filed a definitive proxy statement/prospectus and consent solicitation statement"
A proxy statement or prospectus is a document that companies send to shareholders to provide important information about upcoming decisions or investments, such as voting on company issues or offering new shares to the public. It helps investors understand the details and risks involved, enabling them to make informed choices about their ownership or involvement with the company.
fully diluted basis financial
"each expected to own about 50% of the combined company on a fully diluted basis"
A fully diluted basis counts every share that could exist if all outstanding options, warrants, convertible securities and other rights were exercised or converted into common stock, showing the maximum number of shares outstanding. For investors this matters because it spreads ownership and earnings across that larger share count, like slicing a pie into every possible piece before deciding how big each investor’s slice will be, which affects per-share value and ownership percentage.

(Nasdaq, NYSE Texas: DJT) ("TMTG" or "Trump Media"), operator of the social media platform Truth Social, the streaming platform Truth+, and the FinTech brand Truth.Fi, and TAE Technologies, Inc. As a result, TMTG has filed a definitive proxy statement/prospectus and consent solicitation statement (the "Proxy Statement/Prospectus") with the SEC.

The Registration Statement registers the shares of TMTG common stock to be issued to TAE stockholders in connection with the all-stock business combination under the Agreement and Plan of Merger dated December 18, 2025. When the transaction closes, TMTG shareholders and TAE stockholders are each expected to own about 50% of the combined company on a fully diluted basis.

TMTG will hold a special meeting of stockholders on December 14, 2026 at 9:15 a.m. ET to vote on the proposals related to the merger. Michl Binderbauer, Chief Executive Officer and Chief Technology Officer of TAE, said “For nearly three decades, our pursuit of fusion has produced advances in science and engineering that we are now bringing to market. This merger supports the next phase of that work, as we advance commercial fusion and apply the technologies developed along the way across power management and cancer therapy.”

TMTG stockholders are urged to read the Proxy Statement/Prospectus in full, including the risk factors. It is available free of charge on the SEC's website at www.sec.gov and on TMTG's investor relations website at ir.tmtgcorp.com.
