(TSXV:EMPR)(OTCQX:EMPYF) ("Empress" or the "Company") announces that trading in its common shares, which was halted by the Canadian Investment Regulatory Organization ("CIRO") on September 17, 2026, pending the announcement of the Company's US$62M acquisition of a gold stream on the Tongon Gold Mine and the related US$75M debt financing, is scheduled to resume at market open on Friday, September 18, 2026, or as otherwise determined by CIRO in accordance with the policies of the TSX Venture Exchange.

As announced, the Company's wholly-owned subsidiary, Empress Royalty Holding Corp. ("Empress Holdings"), has entered into a Stream Purchase Agreement with Appian Tongon Streamco Ltd. to acquire a gold stream on the Tongon Gold Mine in Côte d'Ivoire for an upfront cash payment of US$62M. In connection with the acquisition, Empress Holdings, as borrower, has also entered into a US$75M senior secured credit facility with Appian Empire Loanco Ltd., consisting of an initial draw of US$55M at closing to partially fund the acquisition and a further US$20M available to fund future royalty and stream acquisitions.
