EXL (NASDAQ: EXLS) closed a new five-year senior secured credit facility led by PNC Bank as Administrative Agent, with a syndicate of lenders, providing borrowing capacity of up to $1 billion, up from $600 million.

The agreement, expiring August 18, 2031, consists of a $400 million term loan and a revolving credit facility permitting borrowings up to $600 million. It includes an accordion feature allowing expansion by the greater of $470 million or 100% of trailing four-quarter EBITDA. EXL said the facility offers greater covenant flexibility to support its strategy, including targeted M&A and capital returns under its $500 million share repurchase authorization.

EXL (NASDAQ: EXLS) announced it has completed the acquisition of iMerit, a provider of AI model training, evaluation and reinforcement learning services. The company said combining EXL’s enterprise data and AI expertise with iMerit’s capabilities and foundation model relationships is intended to create an end-to-end AI platform for enterprises.

According to EXL, the integrated platform will support clients in moving from pilot projects to production-scale AI, particularly in regulated industries where domain knowledge and compliance are critical. As part of the transaction, iMerit founder and CEO Radha Ramaswami Basu joins EXL as Executive Vice President, Head of iMerit, and becomes a member of EXL’s executive committee. EXL stated that the acquisition extends the data- and AI-led strategy it has been pursuing for several years.

EXL (NASDAQ: EXLS) reported second quarter 2026 revenue of $594.8 million, up 15.6% year over year and 4.3% sequentially on a reported basis. GAAP diluted EPS was $0.42 versus $0.40 a year ago, while adjusted diluted EPS (non-GAAP) rose to $0.59 from $0.49.

Operating income margin was 14.7%, down from 15.8% in Q2 2025, while adjusted operating margin was 19.7%. All four reportable segments grew revenue year over year, with total gross margin at 38.0%. EXL won 17 new clients and agreed to acquire iMerit, whose expected close on July 31, 2026 is included in updated guidance.

According to EXL, full-year 2026 revenue guidance increased to $2.390–$2.415 billion, implying 14%–16% reported growth and including $28–$32 million from iMerit. Adjusted diluted EPS guidance was raised to $2.25–$2.29, a 16%–18% increase over 2025.

EXL (NASDAQ: EXLS) appointed former KPMG UK Chair Bina Mehta as an independent director effective July 16, 2026. She joins the board’s audit committee and compensation and talent management committee. The transaction, subject to customary and antitrust conditions, is expected to close in Q3 2026 and is intended to deepen EXL’s enterprise AI capabilities, expand its vertically integrated AI stack, and broaden exposure to high-growth sectors such as high tech, mobility, autonomous systems and physical AI.
