Fermi Provides Update on Lease Agreement as Parties Work Toward Closing

The lease remains ineffective pending closing conditions, including financing sufficient to fund construction of the leased premises.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Fermi (FRMI) continues working to close its data center lease with TensorWave after the October 31, 2026 closing date passed without extension.

The lease between subsidiary Fermi Campus 1 and TensorWave TEX1, signed in August 2026, has not become effective because closing conditions were not fully satisfied. Neither party has exercised a termination right. Conditions include related work letters and guaranties, operations schedules and a service-level agreement, Board approvals, and project-level financing sufficient to fund construction of the leased premises. Fermi said both parties remain committed and expects to provide more information during its earnings call next week, or sooner if appropriate.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

service-level agreement technical
"finalizing operations schedules and a service-level agreement"
A service-level agreement (SLA) is a formal contract that spells out the specific duties, performance standards, response times and remedies a service provider must meet for its customers. For investors, SLAs matter because they shape how reliably a business can deliver products or services, influence recurring revenue, potential penalties, and customer retention—think of an SLA as a performance promise or warranty that helps predict a company’s operational risk and future cash flow.

DALLAS, TX / ACCESS Newswire / November 3, 2026 / Fermi Inc. (NASDAQ:FRMI)(LSE:FRMI), operating as Fermi America™ ("Fermi" or the "Company"), today issued the following statement on the Data Center Lease and Services Agreement (the "Lease") between its wholly owned subsidiary, Fermi Campus 1 LLC, and TensorWave TEX1, LLC ("TensorWave"), after the October 31, 2026 closing date passed without extension.

"Both Fermi and TensorWave remain committed to this lease, and we are continuing to work through the remaining conditions prior to close," said Lee McIntire, Fermi Chief Executive Officer. "We expect to provide more information on the discussions during our earnings call next week, or sooner if appropriate."

The Lease, signed in August 2026, provides that its effectiveness is subject to the satisfaction or waiver of specified closing conditions. Those conditions include executing and delivering related work letters and guaranties; finalizing operations schedules and a service-level agreement; obtaining Board approvals; and securing project-level financing sufficient to fund construction of the leased premises. The closing conditions under the Lease were not fully satisfied by October 31, 2026, and therefore the Lease has not yet become effective. Neither party has exercised any right to terminate the Lease, and Fermi and TensorWave continue to work together toward completing the transaction.
