Total Company revenue in the third quarter was $2,647.3 million. Net income attributable to TechnipFMC was $309.7 million, or $0.75 per diluted share. These results included after-tax charges and credits totaling $2.4 million of expense (Exhibit 6).

Adjusted net income was $312.1 million, or $0.75 per diluted share (Exhibit 6).

Adjusted EBITDA, which excludes pre-tax charges and credits, was $518.9 million; adjusted EBITDA margin was 19.6 percent (Exhibit 8).

Included in total Company results was a foreign exchange loss of $12.5 million, or a loss of $13.1 million after-tax. When excluding the after-tax impact of the foreign exchange loss of $13.1 million, net income was $322.8 million. Adjusted EBITDA, excluding foreign exchange, was $531.4 million (Exhibit 8).

Shareholder Distribution Update

On October 22, 2025, the Company announced that its Board of Directors authorized additional share repurchases of up to $2 billion. Together with the remaining balance under the existing program, the Company is now authorized to repurchase shares of up to $2.3 billion, representing nearly 16 percent of the Company’s outstanding shares at the closing price on October 21, 2025.

Since the initial share repurchase authorization in July 2022, the Company has returned more than $1.6 billion to shareholders through stock repurchases and dividends.

Doug Pferdehirt, Chair and CEO of TechnipFMC, stated, “I am very proud of the continued strength in our execution and the delivery of another quarter of high-quality inbound, with 15 of the past 16 quarters achieving a book-to-bill above one. Pferdehirt continued, “Total Company revenue was $2.6 billion, with adjusted EBITDA of $531 million when excluding foreign exchange impacts. We generated free cash flow of $448 million and distributed $271 million through dividends and share repurchases, continuing to deliver on our commitment to return a significant portion of free cash flow to shareholders.”

Pferdehirt added, “Subsea achieved quarterly orders of $2.4 billion, driven by continued strength in South America. Inbound comprised multiple awards for flexible pipe and subsea production systems. This included our seventh award from ExxonMobil in Guyana—the Hammerhead project. TechnipFMC has been awarded all of the operator’s subsea production systems in Guyana since the first award in 2017. Our commercial success year-to-date reinforces our confidence in delivering more than $10 billion of Subsea orders in 2025.”

The change in spending allocation is due in part to the significant improvements made in developing the large, high-quality, and prolific reservoirs found offshore. Subsea reported third-quarter revenue of $2,319.2 million, an increase of 4.6 percent from the second quarter. The sequential revenue improvement was largely driven by increased project activity, particularly iEPCI™ projects, in Africa, the Americas, and Australia. This was partially offset by reduced project activity in Norway.

Subsea reported an operating profit of $401.3 million, an increase of 5.5 percent from the second quarter. Operating results increased sequentially, primarily due to higher project activity. Operating profit margin increased 10 basis points to 17.3 percent.

Subsea reported adjusted EBITDA of $505.6 million, an increase of 4.7 percent when compared to the second quarter. The factors impacting operating profit also drove the sequential increase in adjusted EBITDA. Adjusted EBITDA margin was unchanged at 21.8 percent.

Subsea inbound orders were $2.4 billion for the quarter. Book-to-bill was 1.0x. The following announced awards were included in the period:

  • Petrobras Flexible Pipe Contracts (Brazil)

Two subsea contracts by Petrobras for flexible pipe for use in multiple basins. The first award was a substantial(1) contract to design, engineer, and manufacture flexible gas injection risers. This high-technology solution will sustain reservoir pressure and enhance production efficiency through high-capacity gas reinjection in pre-salt formations in the Santos Basin. The second award, which followed a competitive tender, was a significant(2) contract to design, engineer, and manufacture flexible risers and flowlines for deployment on assets in the Campos Basin.
(1) A “substantial” contract is between $250 million and $500 million.
(2) A “significant” contract is between $75 million and $250 million.

  • Petrobras Subsea Production Systems Contract (Brazil)

Significant* contract by Petrobras, following a competitive tendering process, for subsea production systems. TechnipFMC will design, engineer, and manufacture subsea production systems to be deployed in an array of greenfield developments, brownfield expansions, and asset revitalizations across Petrobras’ extensive portfolio. The contract also covers installation support and life-of-field services, with provisions for additional equipment and services.
*A “significant” contract is between $75 million and $250 million.

  • ExxonMobil Hammerhead Project (Guyana)

Substantial* contract by ExxonMobil Guyana Limited to supply subsea production systems for the Hammerhead development in Guyana’s Stabroek Block. TechnipFMC will provide project management, engineering, and manufacturing of subsea production systems supporting both production and water injection capabilities. The subsea architecture will include products from the Subsea 2.0® platform, including subsea trees, manifolds, and associated controls.
*A “substantial” contract is between $250 million and $500 million.

Surface Technologies reported third-quarter revenue of $328.1 million, an increase of 3 percent from the second quarter. The sequential increase in revenue was primarily driven by higher activity in the North Sea and Asia Pacific, partially offset by lower activity in North America.

Surface Technologies reported operating profit of $36.8 million, an increase of 57.3 percent versus the second quarter. The sequential increase in operating profit was largely due to a $16.9 million reduction in restructuring, impairment, and other charges, offset in part by an accelerated amortization expense in the period. Operating results also benefited from higher activity in international markets. Operating profit margin increased 390 basis points to 11.2 percent.

Surface Technologies reported adjusted EBITDA of $53.8 million, an increase of 2.9 percent when compared to the second quarter. Adjusted EBITDA improved sequentially due to higher activity in international markets. Adjusted EBITDA margin was unchanged at 16.4 percent.

Inbound orders for the quarter were $266.6 million, a sequential decrease of 4.1 percent. Backlog ended the period at $775.4 million.

Corporate and Other Items (three months ended September 30, 2025)

Corporate expense was $28 million.

Foreign exchange loss was $12.5 million.

Net interest expense was $10.6 million.

The provision for income taxes was $76.1 million.

Total depreciation and amortization was $118.2 million.

Cash provided by operating activities was $525.1 million. Capital expenditures were $77.3 million. Free cash flow was $447.8 million (Exhibit 11).

During the quarter, the Company repurchased 6.5 million of its ordinary shares for total consideration of $250 million. When including a dividend payment of $20.5 million, total shareholder distributions in the quarter were $270.5 million.

Short-term debt and long-term debt totaling $438 million declined $258.3 million sequentially, primarily due to the early repayment of the Company’s 6.50% Senior Notes due February 2026 (Exhibit 10).

The Company ended the period with cash and cash equivalents of $876.6 million. Net cash increased sequentially to $438.6 million (Exhibit 10).

2025 Full-Year Financial Guidance1

The Company’s full-year financial guidance for 2025 can be found in the table below. Updates to the previous guidance issued on April 24, 2025 are as follows:

  • Surface Technologies adjusted EBITDA margin in a range of 16 - 16.5%, which increased from the previous guidance range of 15 - 16%.
  • Free cash flow of $1.3 - 1.45 billion, which increased from the previous guidance range of $1.0 - 1.15 billion.

The Company’s full-year Subsea financial guidance for 2026 is as follows:

  • Subsea revenue in a range of $9.1 - 9.5 billion.
  • Subsea adjusted EBITDA margin in a range of 20.5 - 22%.

In addition to financial results determined in accordance with U.S. generally accepted accounting principles (GAAP), the third quarter 2025 Earnings Release also includes non-GAAP financial measures (as defined in Item 10 of Regulation S-K of the Securities Exchange Act of 1934, as amended) and describes performance on a year-over-year or sequential basis. Net income attributable to TechnipFMC plc, excluding charges and credits, as well as measures derived from it (including Diluted EPS, excluding charges and credits; Earnings before net interest expense, income taxes, depreciation and amortization, excluding charges and credits (“Adjusted EBITDA”); and Adjusted EBITDA, excluding foreign exchange gains or losses, net; Adjusted EBITDA margin; Adjusted EBITDA margin, excluding foreign exchange, net); Corporate expense, net, excluding charges and credits; Foreign exchange, net and other, excluding charges and credits; net cash (debt); and free cash flow are non-GAAP financial measures.

 

Non-GAAP adjustments are presented on a gross basis and the tax impact of the non-GAAP adjustments is separately presented in the applicable reconciliation table. Estimates of the tax effect of each adjustment is calculated item by item, by reviewing the relevant jurisdictional tax rate to the pretax non-GAAP amounts, analyzing the nature of the item and/or the tax jurisdiction in which the item has been recorded, the need of application of a specific tax rate, history of non-GAAP taxable income positions (i.e. net operating loss carryforwards) and concluding on the valuation allowance positions.

 

Management believes that the exclusion of charges, credits and foreign exchange impacts from these financial measures provides a useful perspective on the Company’s underlying business results and operating trends, and a means to evaluate TechnipFMC’s operations and consolidated results of operations period-over-period. These measures are also used by management as performance measures in determining certain incentive compensation. The foregoing non-GAAP financial measures should be considered by investors in addition to, not as a substitute for or superior to, other measures of financial performance prepared in accordance with GAAP.
