EVERETT, Wash.--(BUSINESS WIRE)--
Fortive Corporation (“Fortive”) (NYSE: FTV) today announced that it has priced its registered offering (the “offering”) of $600 million aggregate principal amount of its 4.750% Notes due 2031 (the “2031 notes”) and $500 million aggregate principal amount of its 5.250% Notes due 2036 (the “2036 notes” and, together with the 2031 notes, the “notes”). The 2031 notes will bear interest at 4.750% per annum and mature on May 15, 2031, and the 2036 notes will bear interest at 5.250% per annum and mature on May 15, 2036. Interest on the notes will be paid semi-annually in arrears on May 15 and November 15 of each year, beginning on November 15, 2026. Fortive intends to use the net proceeds from the offering to refinance certain indebtedness, including the repayment at maturity of its 3.150% Senior Notes due June 15, 2026 (plus accrued and unpaid interest thereon), to pay related fees and expenses, and for general corporate purposes. The sale of the notes is expected to close on or about May 14, 2026, subject to customary closing conditions.
