Analysis

This announcement adds a delayed 2025 Form 20-F filing and related Nasdaq non-compliance notice to Gauzy’s existing listing challenges, which already include a minimum bid price deficiency and earlier governance issues. The company has defined windows—through July 20, 2026 for a plan and potentially to November 11, 2026—to regain compliance, but delisting risk persists if it fails. Against prior disclosures on liquidity constraints and French restructuring, investors may track filing progress, Nasdaq responses, and any use of the existing Form F-3 framework.

Recent Company History

Over the past months, Gauzy has repeatedly interacted with Nasdaq on listing compliance. Notices in February–March 2026 covered board independence and minimum bid price issues, while a March 19 update highlighted regained compliance on governance. Concurrently, French subsidiaries entered court-supervised reorganization and a public tender process (March 10, 2026). Management turnover and a proposed $50 million equity line on January 26, 2026 coincided with a sharp selloff. Today’s late 20-F filing notice adds another listing-risk layer to this regulatory and restructuring backdrop.

7 terms
form 20-f regulatory
"delay in filing its Annual Report on Form 20-F for the fiscal year ended"
Form 20-F is the standardized annual disclosure that non-U.S. companies must file with the U.S. securities regulator when their shares are traded in the U.S.; it contains audited financial statements, a plain-language description of the business, management discussion, governance details and key risk factors. It matters to investors because it provides a consistent, comparable company “report card” and rulebook, helping buyers assess financial health, governance and risks before investing.
nasdaq listing rule 5250(c)(1) regulatory
"not in compliance with Nasdaq Listing Rule 5250(c)(1) as a result of the"
Nasdaq Listing Rule 5250(c)(1) requires companies listed on the Nasdaq stock exchange to promptly notify the exchange if their stock price falls below a certain minimum level, known as the "initial listing standards." This rule helps ensure that investors are aware of significant declines in a company's stock value, which could signal financial trouble or increased risk. Essentially, it helps maintain transparency and protect investors by keeping them informed about important changes in a company's stock performance.
nasdaq listing rule 5450(a)(1) regulatory
"non-compliance with the minimum bid price requirement set forth under Nasdaq Listing Rule 5450(a)(1)"
Nasdaq Listing Rule 5450(a)(1) is a continued-listing standard that sets a minimum share price companies must maintain to remain listed on the Nasdaq market—commonly a $1.00 per-share threshold. Investors care because falling below that floor can trigger a compliance review and possible delisting, which is like failing a minimum grade and losing access to the public market; delisting can reduce liquidity, visibility and the ability to raise capital.
minimum bid price requirement regulatory
"non-compliance with Nasdaq’s continued listing standards related the Company’s non-compliance with the minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
u.s. securities and exchange commission regulatory
"2025 Form 20-F with the U.S. Securities and Exchange Commission"
The U.S. Securities and Exchange Commission is a government agency responsible for overseeing the stock market and protecting investors. It sets rules to ensure that companies share truthful information and that trading is fair, helping to maintain trust in the financial system. This oversight is important because it helps prevent fraud and ensures that investors can make informed decisions.
hearing panel regulatory
"opportunity to appeal that decision to a Hearing Panel under Nasdaq Listing Rule 5815(a)"
A hearing panel is a small group of officials from a stock exchange, regulator or independent adjudicatory body that listens to evidence and arguments about rule breaches, disciplinary actions, listing eligibility or market disputes. Like a neighborhood board deciding whether a property meets community rules, the panel’s rulings can impose fines, trading suspensions or delisting, which can directly affect a company’s share price, liquidity and investor confidence.
non-compliance indicator regulatory
"a non-compliance indicator will be broadcast over Nasdaq’s market data dissemination network"
A non-compliance indicator is a signal or flag that a company, product, process, or report is not meeting required rules, standards, or contractual obligations set by regulators, industry bodies, or internal policies. For investors it matters because these signals can predict fines, legal trouble, operational disruptions, or reputational damage—like a dashboard warning light on a car that warns of a problem that could become costly or halt progress if ignored.
