Calgary, Alberta--(Newsfile Corp. - September 23, 2026) - Hemostemix Inc. (TSXV: HEM) (OTCQB: HMTXF) (FSE: 2VF0) ("Hemostemix" or the "Company") is pleased to announce it is filing a Form 4B to obtain price protection for the closing of the third tranche of its previously announced non-brokered private placement of units (the "Offering"), as originally disclosed on June 17, 2026, to raise $1,000,000. Each Unit consists of one common share in the capital of the Company (a "Common Share") and one-half of one common share purchase warrant (a "Warrant"). Each whole Warrant entitles the holder to acquire one additional Common Share at a price of CDN$0.12 per share for a period of 24 months from the closing date of the third tranche of the Offering, subject to the accelerated expiry provision described below. If, during any 10 consecutive trading days occurring after four months and one day has elapsed following the closing date of the Offering, the volume-weighted average trading price of the Common Shares (or the closing bid, if no sales were reported on a trading day) as quoted on the TSX Venture Exchange ("Exchange") is greater than or equal to CDN$0.15 per Common Share, the Company may accelerate the expiry date of the Warrants to the date that is 30 days following the date on which the Company issues a news release announcing the acceleration.

In connection with the third tranche of the Offering, the Company is expecting to pay eligible finders aggregate cash finder's fees of approximately CDN $8,000 and issued 80,000 finder warrants (the "Finder Warrants"). Each Finder Warrant entitles the holder to purchase one Common Share at an exercise price of CDN$0.06 per share for a period of 24 months from the closing date of the second tranche.

The proceeds of the Offering are expected to be used for, sales, marketing, patient acquisition, physician education, and commercialization initiatives; production and manufacturing expenses associated with ACP-01 treatments; regulatory and filing fees associated with submissions to the Ministry of Health and Wellness of the Commonwealth of The Bahamas; and, general working capital and corporate purposes.

The Offering remains subject to final acceptance by the Exchange.
