Facility carries a fixed 7.00% interest rate with no financial maintenance covenants, no warrants or equity conversion features, and no dilution to existing shareholders

AUSTIN, Texas--(BUSINESS WIRE)-- MindWalk Holdings Corp. ("MindWalk") (NASDAQ: HYFT), a Bio-Native AI company, today announced that it has entered into a binding commitment with Sanabil (Cayman) for a senior unsecured revolving credit facility of up to US$30 million. The facility is intended to support MindWalk’s biologics programs, commercial expansion, working capital, and general corporate purposes.

The facility carries a fixed annual interest rate of 7.00%, accruing only on amounts drawn, and an initial term of 36 months, extendable by 12 months by agreement. It includes no financial maintenance covenants, warrants, or equity conversion feature and requires no pledge of MindWalk assets. There is no material adverse change condition to closing. MindWalk has no obligation to borrow and may repay amounts drawn without penalty. A one-time 1.00% opening fee applies, with no unused line fee. The term sheet is binding on both parties. MindWalk and Sanabil (Cayman) will negotiate a definitive credit agreement consistent with its terms, with a target closing within 60 days, and MindWalk expects to file the agreement as a material contract exhibit.

“This facility funds our biologics programs and our commercial build without issuing a single share,” said Jennifer Bath, PhD, President and Chief Executive Officer of MindWalk. “We chose debt over equity for a simple reason. We were not prepared to raise capital of this size in equity at the current share price, and we did not have to. Sanabil took no warrants, no conversion feature, and no security over any asset we own, so the full benefit of executing our plan stays with the shareholders who own it today.”

Key Terms

senior unsecured revolving credit facility financial
A senior unsecured revolving credit facility is a bank loan line that a company can draw, repay and redraw up to an agreed limit, similar to a company credit card. It is “senior” because lenders are paid before other creditors if the company fails, and “unsecured” because it isn’t backed by specific assets; investors watch it for signals about a company’s short-term cash flexibility, borrowing cost and financial risk.
financial maintenance covenants financial
Clauses in loan or bond contracts that require a borrower to keep certain financial measures—such as leverage ratios, interest-coverage ratios, or minimum net worth—at or above (or below) agreed levels for the life of the debt. They matter because failing to meet these targets can trigger a default, allow lenders to demand immediate repayment or impose restrictions (on dividends, new borrowing or operations), and so can affect a company’s liquidity, credit standing and stock value.
equity conversion feature financial
A provision in a debt instrument, preferred share, or other security that allows the holder or issuer to convert that instrument into common equity at specified times and rates. It matters to investors because conversion changes the holder’s claim from a fixed-income or priority position into ownership stakes, affecting potential upside, dilution of existing shareholders, and a company’s capital structure—similar to trading a guaranteed coupon-paying bond for a slice of company ownership.
material adverse change condition financial
A material adverse change condition is a clause in contracts or financing agreements that lets one party delay, renegotiate, or terminate obligations if the other party’s business, assets, prospects, or financial condition suffers a significant negative change. It matters to investors because invoking the clause can stop a merger, loan, or investment from closing, much like a buyer walking away from a house sale after a major hidden problem is found, which can change the timing, value, or feasibility of a deal.
term sheet financial
A term sheet is a short, non-binding summary of the main points agreed between parties before a formal investment, loan, or acquisition is completed. Think of it as a blueprint that lists price, ownership split, key rights and conditions, and timelines so everyone knows the deal’s structure before lawyers draft final contracts. Investors care because it signals the likely economic terms, risks, and protections they will get and can make or break whether a transaction proceeds.
