IMDEX (OTC:IMDXF) has agreed to acquire 100% of Advanced Logic Technology (ALT) and Mount Sopris Instruments (MSI) for a combined upfront €55.8 million (~A$98.9m) to expand earth science sensor and software capabilities.
The deal includes up to €20m of performance‑linked deferred consideration, is to be funded from cash and existing debt, and implies a pro forma Net Debt/FY25 normalized EBITDA of 1.1x. Completion is expected within FY26 Q3 subject to customary conditions and Luxembourg foreign investment approval.
IMDEX expects ~A$10m incremental revenue and ~A$2m normalized EBITDA contribution in FY26, recognition of ~A$60m goodwill, acquired IP ~A$30m (≈A$1m additional amortisation), ~A$1m higher capex and ~A$2m interest costs; the transaction is expected to be EPS accretive in the first full year.
