(TSXV: KC) (OTCQX: KCCFF) ("KutchoCopper" or the "Company") is pleased to announce that it has entered into an agreement dated August 25, 2026 with two arms' length prospectors for the purchase of two mineral claims located nearby the Company's Kutcho Project (the "Purchase Agreement"). The Company has agreed to purchase the two mineral claims comprising approximately 68 hectares in area in consideration of the issuance of 150,000 common shares, to be issued at a deemed price per share equal to $0.35 being the market price immediately before the date of announcement. The shares to be issued under the Purchase Agreement will be subject to a statutory hold period of four months and a day from the date of issuance. The Purchase Agreement and the issuance of shares thereunder is subject to approval of the TSX Venture Exchange ("TSXV").

In addition, the Company announces that it has entered into an updated service agreement with Resource Stock Digest ("RSD") of Round Rock, Texas. Under the terms of the agreement, among other things, RSD has agreed to provide certain promotional services to the Company in accordance with Policy 3.4 -- Investor Relations, Promotional and Market-Making Activities of the TSXV. The Company previously engaged RSD under a March 2025 service agreement, and the new agreement provides a continuity of service upon the term of the previous agreement completing in September 2026. The updated agreement is subject to approval by the TSXV.
