Key Terms

form 10-k, registered direct offerings, private placement, clinical trial, +4 more
8 terms
form 10-k regulatory
"announced it has filed its Annual Report on Form 10-K for the year ended"
A Form 10-K is a comprehensive report that publicly traded companies are required to file annually with regulators. It provides a detailed overview of a company's financial health, operations, and risks, similar to a detailed health report. Investors use this information to assess the company's performance and make informed decisions about buying or selling its stock.
registered direct offerings financial
"More than $11 million was raised in two registered direct offerings and a private"
A registered direct offering is a way a publicly traded company sells new shares directly to selected investors under a registration with regulators, combining the paperwork of a public sale with the speed of a private deal. For investors it matters because it can dilute existing holdings and signal a company’s need for cash, while offering participating buyers quick access to newly issued stock often at negotiated terms — like buying extra tickets before they go on general sale.
private placement financial
"was raised in two registered direct offerings and a private placement during the year"
A private placement is a sale of securities directly to a selected group of investors, typically institutions or accredited investors, instead of through a public offering. It lets a company raise money faster and with fewer regulatory steps; for existing shareholders it matters because the newly issued shares, often sold at a discount, increase the share count and can dilute their ownership.
clinical trial medical
"was added as a second site in a clinical trial combining the LIXTE’s proprietary"
A clinical trial is a carefully controlled study in which a new medicine, medical device, or treatment is tested on people to see if it is safe and effective. For investors it matters because trial results determine whether a product can win regulatory approval and reach patients, much like a road test decides if a new car can be sold; positive or negative results can sharply change a company’s prospects and stock value.
proton therapy medical
"pioneering electronically controlled proton therapy systems for treating tumors"
A cancer treatment that uses a beam of charged particles (protons) to deliver radiation precisely to a tumor while limiting damage to surrounding healthy tissue; think of it as a GPS-guided beam that stops where the tumor is instead of blasting through everything. It matters to investors because proton therapy requires very expensive equipment, long-term facility investment and depends on clinical outcomes and insurance reimbursement to generate revenue, so advances in effectiveness, cost or access can materially affect providers' financial prospects.
options to buy financial
"was granted options to buy 50,000 shares of common stock at an exercise price"
Options to buy are contracts that give the owner the right, but not the obligation, to purchase a stock at a predetermined price before a set expiry date. Think of it like reserving the right to buy a concert ticket at today’s price if demand later pushes the price up — they let investors benefit from rising shares while limiting potential loss to the amount paid for the contract.
form 8-k regulatory
"Lixte Biotechnology Holdings, Inc. Warrants Reports Material Event"
A Form 8-K is a report that companies file with the government to share important news quickly, such as changes in leadership, major business deals, or financial updates. It matters because it helps investors stay informed about significant events that could affect the company's value or stock price.
form 10-q regulatory
"[10-Q] Lixte Biotechnology Holdings, Inc. Warrants Quarterly Earnings Report"
A Form 10-Q is a detailed report that publicly traded companies are required to file with regulators three times a year, providing an update on their financial health and business activities. It is important for investors because it offers timely insights into a company's performance, helping them make informed decisions about buying or selling stocks. Think of it as a regular check-up report that shows how well a company is doing.
