Key Terms

convertible securities, warrants, electronic health record (EHR), FDA 510(k), +4 more
8 terms
convertible securities financial
"used to eliminate all previously outstanding convertible securities, removing a significant legacy capital structure overhang"
Convertible securities are bonds or preferred shares that can be exchanged for a company’s common stock at a predetermined price or under specified conditions. They matter because they combine the steadiness of a loan or fixed dividend with the potential upside of ownership; like a safety‑net that carries a one‑time ticket to become a shareholder, they affect expected returns and can dilute existing stock if converted.
View in glossary
warrants financial
"the Company issued $30 million in Series D warrants, which are callable upon the publication"
Warrants are special documents that give you the right to buy a company's stock at a set price before a certain date. They are often used as a way for companies to attract investors or raise money, and their value can increase if the company's stock price goes up.
View in glossary
electronic health record (EHR) technical
"full integration with the hospital's electronic health record (EHR) system now complete"
A digital system that stores a patient’s medical history, test results, medications and treatment notes in one place so healthcare providers can view and update records electronically. For investors, EHRs matter because they drive how healthcare is delivered, influence costs, create recurring revenue for software providers, and carry regulatory and cybersecurity risks; think of an EHR as the digital filing cabinet or smartphone app that organizes a clinic’s entire patient chart.
FDA 510(k) regulatory
"supporting a planned late 2026 FDA 510(k) submission"
A FDA 510(k) is a premarket notification a medical device maker files to show a new device is similar enough to an already approved device that it can be marketed without a lengthy review. For investors it matters because a cleared 510(k) offers a faster, lower-cost path to sell a product and reduces regulatory uncertainty—think of it like proving you’re using an approved recipe rather than inventing a brand-new one.
EBITDA financial
"These non-GAAP financial measures include net loss before interest, taxes, depreciation, and amortization (EBITDA)"
EBITDA stands for earnings before interest, taxes, depreciation, and amortization. It measures a company's profitability by focusing on the money it makes from its core operations, ignoring expenses like taxes and accounting adjustments. Investors use EBITDA to compare how well different companies are performing financially, as it provides a clearer picture of operational success without the influence of financial structure or accounting choices.
View in glossary
non-GAAP financial
"management provides certain non-GAAP financial measures of the Company's financial results"
Non-GAAP refers to financial measures that companies use to show their earnings or performance without including certain expenses or income that are often added back to give a different picture. It matters because it can make a company's results look better or more favorable, but it may also hide important costs, so investors need to look at both GAAP (official rules) and non-GAAP numbers to get a full understanding.
View in glossary
stock-based compensation financial
"which include stock-based compensation expenses of $0.3 million"
Stock-based compensation is when a company pays employees, directors or consultants with shares or the right to buy shares instead of or in addition to cash. It matters to investors because issuing stock or options spreads ownership thinner (like cutting a pie into more slices), which can reduce each existing share’s claim on profits and can also change reported earnings; investors watch it to assess true cost of running the business and how management is incentivized.
View in glossary
debt extinguishment financial
"the loss on debt extinguishment and the corresponding accounting for non-cash charges"
Debt extinguishment is the process of eliminating a company's obligation to repay borrowed money, whether by paying it off, refinancing it with new borrowing, or settling it for less than the original amount. For investors, it matters because removing or replacing debt changes a business’s cash needs, risk profile and reported profit—much like paying off a mortgage early or refinancing at a different rate alters your monthly budget and long‑term costs.

Business Update Highlights

"Over the past two years, we've undertaken a series of deliberate, systematic actions to fix PAVmed's legacy capital structure and strengthen its balance sheet," said Lishan Aklog, M.D., PAVmed's Chairman and Chief Executive Officer. "This process is now complete and we believe PAVmed is exceptionally well positioned to execute on its founding mission — to operate as a high-growth diversified commercial life sciences company with multiple independently financed subsidiaries operating under a shared services model. Veris is now well underway in the commercial phase of its strategic engagement with OSU-The James while progressing its implantable physiological monitor toward FDA submission. Lucid continues to maintain a strong commercial foundation as it approaches transformative Medicare coverage for EsoGuard. We have also relaunched PAVmed's medical device portfolio under experienced leadership and completed the licensing of our endoscopic esophageal imaging technology from Duke University, adding another potential growth engine to our pipeline."

Highlights from the fourth quarter and recent weeks:

  • PAVmed strengthened its balance sheet through the completion of a $30 million Series D preferred stock offering and a $15 million senior secured note financing. A portion of the proceeds from these activities was used to eliminate all previously outstanding convertible securities, removing a significant legacy capital structure overhang and extending the Company's cash runway. In addition, the Company issued $30 million in Series D warrants, which are callable upon the publication of a draft CMS coverage policy for Lucid's EsoGuard Esophageal DNA Test.
  • PAVmed relaunched its medical device portfolio and appointed industry veteran Joseph Virgilio as Chief Business Officer of Medical Devices to oversee development and commercialization of its current and future device portfolio, including the PortIO implantable intraosseous vascular access device and endoscopic esophageal imaging technology licensed from Duke University.
  • Veris advanced its strategic engagement with The Ohio State University's James Cancer Hospital, with the commercial phase well underway and full integration with the hospital's electronic health record (EHR) system now complete.
  • Veris is engaged with its development and manufacturing partner for its implantable physiological monitor, supporting a planned late 2026 FDA 510(k) submission.
  • Lucid Diagnostics announced fourth quarter and full year 2025 financial results and key business developments, including:

These non-GAAP financial measures include net loss before interest, taxes, depreciation, and amortization (EBITDA) and non-GAAP adjusted loss, which further adjusts EBITDA for stock-based compensation expense, loss on the issuance or modification of convertible securities, the periodic change in fair value of convertible securities, and loss on debt extinguishment.
