Key Terms
exchange-traded productsfinancial
Exchange-traded products are investment tools that are bought and sold on stock exchanges, similar to how stocks are traded. They often track the performance of a group of assets, like stocks, bonds, or commodities, allowing investors to easily add diversified exposure to their portfolios. These products matter to investors because they offer a simple way to invest in various markets with flexibility and transparency.
etpsfinancial
ETPs are investment products that trade on stock exchanges like individual shares but represent exposure to a basket of assets, a commodity, a market index, or a debt note. They matter to investors because they offer easy, intraday access to diverse markets or specific themes—like buying a single slice of a larger pie—while carrying costs and risks (including tracking error and, for some types, issuer credit risk) that can affect returns.
securities and exchange commissionregulatory
A national government agency that enforces rules for buying, selling and disclosing information about stocks and other investments, acting like a referee and scorekeeper for financial markets. It requires companies to share clear, regular financial and business information and investigates fraud or rule-breaking, which matters to investors because those rules and disclosures help ensure fair prices, reduce hidden risks and make it easier to compare investment choices.
registration statementsregulatory
Registration statements are detailed documents companies file with securities regulators when they plan to offer shares or other securities to the public. They act like a recipe and instruction manual, listing a company’s business, finances, management, risks and how the offering will work, so investors can judge value and potential downsides. For investors, these filings provide the official, legally required facts needed to make informed decisions and spot warning signs.
rule 134regulatory
Rule 134 is a U.S. securities regulation that lists small, factual items a company or underwriter may announce about a securities offering without creating a formal sales prospectus. Think of it like a brief fact sheet a seller can post in a shop window: it lets investors see basic details (name, offering size, price range, and how to get more information) while limiting premature promotional claims, which helps maintain fair and orderly markets.
passive investment vehiclesfinancial
Passive investment vehicles are funds that aim to match the performance of a market index or a defined basket of assets rather than trying to pick individual winners. Like buying a ready-made basket of groceries instead of selecting each item yourself, they offer broad exposure, lower fees and predictable risk, which matters to investors because they can reduce costs, simplify portfolio management and provide steady market returns over time.
jurisdictionregulatory
A jurisdiction is the geographic or legal area whose laws, courts and regulators have authority over a company, transaction or asset—like a playground where one set of rules and referees applies. It matters to investors because those rules determine taxes, reporting standards, investor protections, liability and how disputes are resolved, all of which affect risk, valuation and the ease of doing business.
NEW YORK--(BUSINESS WIRE)--
Morgan Stanley Investment Management (MSIM) announced today that it has filed initial registration statements with the Securities and Exchange Commission (SEC) for two new exchange-traded products (ETPs). Morgan Stanley Bitcoin Trust and Morgan Stanley Solana Trust are pending regulatory approval and would be passive investment vehicles that seek to track the performance of the price of the relevant cryptocurrency.
Registration statements relating to the securities of these ETPs have been filed with the SEC but have not yet become effective. These securities may not be sold, nor may offers to buy be accepted prior to the time the respective registration statements become effective.
This press release is being made pursuant to, and in accordance with, Rule 134 under the Securities Act of 1933, as amended, and shall not constitute an offer to sell or the solicitation of an offer to buy these securities, nor shall there be any sale of these securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction.
