Insights

New Pacific filed a 25-month base shelf prospectus enabling up to US$200,000,000 of securities issuance.

The filing replaces the expired August 2023 shelf prospectus and registers a corresponding Form F-10 with the SEC. The Prospectus allows offerings of common shares, preferred shares, debt securities, warrants, units or subscription receipts, alone or in combination, over a 25-month effectiveness period.

What it means: the company now has a pre‑approved mechanism to raise up to US$200,000,000 when it chooses; specific terms and timing will appear only in future Prospectus Supplements filed with regulators. Why it matters: this restores legal and procedural flexibility to conduct equity or debt financings in Canada and the U.S., removing the regulatory barrier created by the prior shelf expiration.

Monitorable item: the maximum offering size is US$200,000,000 and the Prospectus remains effective for 25 months.
