Neighborhood Intelligence (NXH) ended its previously announced acquisition agreement with F9 Brands as F9 was unable to satisfy all closing requirements within the contemplated timeframe.
Neighborhood will not pursue the acquisition and will not enter into any commercial or strategic collaboration with F9, and the prior deal’s terms and economics are no longer in effect. The companies will continue to operate independently. As of August 31, 2026, after completing the acquisitions of The Container Store, Kirkland’s, Installed Right and SFV Construction Services, Neighborhood had approximately 97 million common shares issued and outstanding.
No new shares will be issued and no acquisition capital will be deployed in connection with F9. The company said it remains focused on its Home Services platform, anchored by Elfa, Closet Works and SFV Construction Services, and on transactions that meet its strategic, financial and operational standards, including expanding Elfa’s whole-home solutions across multiple rooms.
Neighborhood Intelligence (Nasdaq: NXH) announced that its board has launched an immediate process to evaluate value-creation alternatives for its strategic blockchain and digital-asset investments in tZERO, GrainChain and Medici Ventures. A special committee of independent directors will work with an investment bank to review paths already presented and additional options, including potential strategic investments, partnerships, combinations, asset contributions, monetizations, public-market transactions and distributions to shareholders.
Neighborhood Intelligence currently owns about 22.6% of tZERO directly and Medici Ventures owns about 16.1%, giving the company an approximate gross look-through economic exposure of 38.7% to tZERO, plus roughly 99% of the limited-partner economics of Medici Ventures, subject to Pelion Venture Partners’ contractual rights.
