The Offering will no longer be conducted in reliance on the listed issuer financing exemption under Part 5A of NI 45-106 Prospectus Exemptions as amended by Coordinated Blanket Order 45-935 Exemptions from Certain Conditions of the Listed Issuer Financing Exemption (the "LIFE Exemption"), in respect of which the Company previously filed an offering document on June 19, 2026. Instead, the Company will complete the Offering on a non-brokered private placement basis in reliance on other available prospectus exemptions under applicable securities laws.
