6 terms
management information circular regulatory
"announces today the filing of its Management Information Circular (the Circular)"
A management information circular is a document sent to shareholders ahead of a company meeting that explains who is asking for votes, what decisions will be made, and why management recommends a particular outcome. Like an instruction booklet and argument sheet combined, it lays out details such as board nominees, executive pay, major transactions and any conflicts, helping investors decide how to vote and judge whether leadership choices could affect the company’s future value.
virtual-only meeting regulatory
"The Annual Meeting will be held in a virtual-only meeting format."
A virtual-only meeting is a company gathering—such as an annual shareholder meeting—held entirely online by video or phone instead of at a physical location, so participants join from their devices much like attending a webinar rather than a town hall. It matters to investors because it changes how easily they can attend, ask questions and cast votes, can affect participation and engagement, and introduces technical or procedural risks that may influence shareholder influence and corporate oversight.
record date regulatory
"they held their common shares as of the close of business on March 25, 2026, the record date."
The record date is the specific day when a company determines which shareholders are eligible to receive a dividend or participate in an upcoming vote. It’s like a cutoff date; if you own the stock on that day, you get the benefits or voting rights. This date matters because it decides who qualifies for certain company benefits.
non-registered (beneficial) shareholders regulatory
"Non-registered (beneficial) Shareholders who wish to vote and participate"
Non-registered (beneficial) shareholders are people or entities that own the economic benefits of a company's shares but whose names do not appear on the company’s official shareholder register because the shares are held through a broker, bank, or other intermediary. This matters to investors because it affects how they receive dividends, vote at shareholder meetings and receive company communications — the intermediary acts as the on-paper owner, like holding a book in a library under the library’s card while you retain the right to read it.
proxy holder regulatory
"will be required to appoint themselves as a proxy holder in advance of the Annual Meeting"
A proxy holder is a person or organization given the legal right to vote or act for a shareholder at a company meeting. Handing someone proxy authority is like giving a trusted friend your ballot when you can’t attend: the proxy votes on board members, mergers, pay and other decisions that shape company strategy and value. Investors care because proxy actions can directly influence corporate outcomes and their returns.
voting instruction form regulatory
"space provided on the voting instruction form provided by their intermediary"
A voting instruction form is a document that allows shareholders to tell their representatives how to vote on company decisions or proposals. It acts like a set of instructions or choices, ensuring shareholders' preferences are communicated clearly. This helps investors participate in important company decisions even if they cannot attend meetings in person.
