Insights

Profusa completes SPAC merger with NorthView, raises $9M initial funding, and begins Nasdaq trading July 14 under PFSA ticker.

Profusa has successfully completed its business combination with NorthView Acquisition Corp (NVAC), a special purpose acquisition company (SPAC), with trading on Nasdaq under ticker PFSA set to commence on July 14, 2025. This transition to public markets represents a significant milestone for the commercial-stage digital health company that specializes in continuous biochemical monitoring technology.

The transaction structure includes notable financial components. Profusa has secured $9 million through a secured convertible promissory note from an institutional investor, primarily to cover transaction costs and provide working capital. Importantly, the company has access to up to $20 million in total under this convertible facility, creating a financial runway to advance its technology platform.

Profusa's core technology focuses on tissue-integrating biosensors designed to function for months at a time, continuously monitoring and transmitting biochemical data to smartphone applications. The company is targeting applications in both general health monitoring and management of specific conditions including diabetes, critical limb ischemia (CLI), and peripheral arterial disease (PAD).

This public market debut comes after a decade-long development journey. The transaction transforms Profusa's capital structure and potential market visibility, while the company's warrants will continue trading on the OTCID market rather than Nasdaq. For investors, this represents early access to a commercial-stage company in the growing digital health monitoring space, with technology that integrates biochemical sensing, mobile applications, and AI-powered analytics.
