Key Terms

winding up, provisional liquidator, securities class action, lead plaintiff
4 terms
winding up regulatory
"with the winding up of the Company sought in the alternative"
Winding up is the formal process of closing a company: selling its assets, paying creditors, settling outstanding obligations and then dissolving the business. For investors it signals the end of ordinary operations and shows how much, if anything, will be recovered from remaining assets—like a store selling off fixtures to pay bills—so it determines whether shareholders or lenders receive any value and how much.
provisional liquidator regulatory
"No official or provisional liquidator has been appointed"
A provisional liquidator is a court-appointed officer who takes temporary control of a company’s assets and operations while insolvency issues are being examined or a formal winding-up decision is pending. Acting like a neutral caretaker, the provisional liquidator preserves assets, prevents value being dissipated, and may investigate the company’s affairs; their appointment can materially affect shareholders’ and creditors’ ability to recover value and whether the company continues trading.
securities class action regulatory
"a putative securities class action has been filed against the Company"
A securities class action is a lawsuit brought by a group of investors who claim they lost money because a company or its executives made false or misleading statements about financial performance, risks, or business prospects. Think of it as many people pooling forces to challenge misleading information; it matters to investors because these cases can lead to large settlements or judgments, hurt a company’s reputation, drain cash, and cause share prices to fall or become more volatile.
lead plaintiff regulatory
"with a lead plaintiff deadline of November 9, 2026"
The lead plaintiff is the representative investor chosen to speak and act on behalf of a group of shareholders in a securities lawsuit. Think of them as the elected spokesperson for a neighborhood when everyone sues a landlord: they coordinate the legal case, make strategic decisions, and negotiate settlements, so their choices can shape outcomes and any recovery that reaches all affected investors. Investors care because the lead plaintiff’s resources and approach can influence the size and speed of any payout and the costs deducted from it.

SINGAPORE, SG / ACCESS Newswire / September 18, 2026 / Ryde Group Ltd (NYSE American:RYDE) (the "Company") today provides the following update regarding a proceeding in the Grand Court of the Cayman Islands and a class action filed against the Company in the United States District Court for the Southern District of New York.

1. A shareholder has presented a petition in respect of the Company in the Grand Court of the Cayman Islands concerning certain corporate governance and share issuance matters. The principal relief sought is an order requiring the purchase of the shareholder's remaining shares at fair value, with the winding up of the Company sought in the alternative.

The proceedings remain at an early stage and no findings have been made by the Court on the substantive allegations. No official or provisional liquidator has been appointed, the directors remain in control of the Company, and the proceedings have not affected the Company's operations or its ability to conduct business in the ordinary course.

2. Separately, a putative securities class action has been filed against the Company in the United States District Court for the Southern District of New York on behalf of purchasers of the Company's securities between March 6, 2024 and September 11, 2024, with a lead plaintiff deadline of November 9, 2026. The Company intends to engage litigation counsel and actively defend the action.

The Company does not presently believe that the Cayman Islands proceedings are material to the Company and will reassess this position, and make such further disclosure as may be appropriate, if circumstances materially change.

This update is being provided voluntarily in advance of the Company's extraordinary general meeting on September 29, 2026 so that shareholders have current information regarding these matters.
