ABOUT THE MERGER TRANSACTION AND THE FINANCING:
The Merger will be effected by way of a statutory plan of arrangement under the Business Corporations Act (British Columbia), pursuant to an arrangement agreement (the “Arrangement Agreement”) entered into between Sernova and Seraxis.
