News Explained

As of June 30, convertible notes were $1,317,556 thousand, while 109,689 RSUs create conditional potential for dilution of existing ownership.

The August 5 results release records $1,317,556 thousand of convertible senior notes, net, on June 30, 2026, and 109,689 RSUs granted on August 3, 2026 to 168 new hires, including 126 hired in connection with the Renesas asset acquisition.

If the RSUs result in additional shares, the release's disclosed ownership effect is dilution: total shares would rise and an existing holder's percentage ownership would fall absent offsetting changes. The awards are not all immediately vested: acquisition-related hires have 1/16 vesting on August 20, 2026 and quarterly vesting thereafter, subject to continued service, while other hires follow a separate schedule.

The June 30 notes line and the RSU awards are the specific items to track in subsequent filings for disclosed conversion terms or shares issued under the awards.

Key Terms

4 terms
gaap financial
"GAAP gross profit was $99.1 million, or 63.0% of revenue"
GAAP, or Generally Accepted Accounting Principles, are a set of standardized rules and guidelines that companies follow when preparing their financial statements. They ensure consistency, transparency, and comparability across different companies, making it easier for investors to understand and compare financial information accurately. This helps investors make informed decisions based on trustworthy and uniform financial reports.
View in glossary
non-gaap financial
"non-GAAP gross profit was $105.6 million, or 67.1% of revenue"
Non-GAAP refers to financial measures that companies use to show their earnings or performance without including certain expenses or income that are often added back to give a different picture. It matters because it can make a company's results look better or more favorable, but it may also hide important costs, so investors need to look at both GAAP (official rules) and non-GAAP numbers to get a full understanding.
View in glossary
convertible senior notes financial
"net proceeds from the convertible senior notes offering"
Convertible senior notes are a type of loan that a company issues to investors, which can be turned into company shares later on. They are called "senior" because they are paid back before other debts if the company runs into trouble. This allows investors to earn interest like a loan but also have the chance to own part of the company if its value rises.
restricted stock units financial
"SiTime granted restricted stock unit awards ("RSUs")"
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
