TransAlta Advances Portfolio Rotation Through Sale of Minority Interest in Oklahoma Wind Portfolio for US$305 Million and Closes Acquisition of Colorado Gas Assets for US$1 Billion

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

TransAlta (TAC) closed the sale of a 49 per cent interest in its Oklahoma wind portfolio to Ares Infrastructure funds for US$305 million.

Cash proceeds are before customary closing adjustments. The 500 MW portfolio has long-term contracts with investment-grade counterparties and production tax credits expiring in 2034. Expected 2026 Adjusted EBITDA, a non-IFRS earnings measure, is approximately US$60 million, including approximately US$29 million attributable to the sold interest. TransAlta retains operational oversight under a long-term asset management agreement and expects proceeds to support its balance sheet and growth, including Centralia conversion and Alberta data centre projects.

TransAlta also completed the acquisition of Mountain Peak Power and Canyon Peak Power from Blackstone for US$1.0 billion, including US$750 million of assumed senior secured project-level debt. The two fully contracted gas-fired peaking facilities near Denver total 318 MW.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

adjusted ebitda financial
"In 2026 the Assets are expected to deliver Adjusted EBITDA"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
non-ifrs measure financial
"Adjusted EBITDA is a non-IFRS measure."
A non-IFRS measure is a financial number a company reports that is calculated outside standard accounting rules; it adjusts or removes items such as one-time costs, taxes, or accounting entries to highlight what management sees as the business’s recurring performance. Investors use these figures like a tailored snapshot to understand underlying trends — similar to a chef sharing a simplified recipe — but because they are not standardized, they require careful comparison and scrutiny.
investment-grade counterparties financial
"long-term contracts with investment-grade counterparties"
Counterparties whose creditworthiness meets the "investment-grade" threshold used by major rating agencies, meaning they are judged to have relatively low risk of default (typically rated BBB-/Baa3 or higher). These are the other parties in a financial contract—banks, insurers, issuers, or trading partners—whose ability to meet obligations affects the credit risk, pricing, and reliability of transactions; think of them as the more financially dependable side in a deal.
production tax credits financial
"including production tax credits which expire in 2034."
Production tax credits are financial incentives offered to support the development of certain energy projects, such as renewable power sources. They provide a dollar amount for each unit of energy produced, helping to reduce the project's overall costs. For investors, these credits can improve the project's profitability and attractiveness by making renewable energy investments more financially appealing.
senior secured project level debt financial
"assumption of US$750 million of senior secured project level debt."
Debt raised for a specific project that has first priority repayment rights and is backed by security interests in that project's assets, contracts and cash flows rather than by the sponsor's other businesses. It sits ahead of subordinated or mezzanine debt in the payment order, is typically secured by liens over project-level accounts, equipment and revenue streams, and is often structured on a non‑recourse or limited‑recourse basis so lenders’ recovery is confined primarily to the project itself.

Strengthening Position in a Core Geography and Investing in the Opportunities That Drive Future Growth

CALGARY, Alberta, Oct. 22, 2026 (GLOBE NEWSWIRE) --

TransAlta Corporation (TransAlta or the Company) (TSX: TA) (NYSE: TAC) announced today that it has closed the sale of a 49 per cent minority ownership interest in its 500 MW wind portfolio in Oklahoma (the Assets) to Ares Infrastructure funds (Ares) for cash proceeds of US$305 million, before customary closing adjustments. The Assets include the 100 MW White Rock West, 200 MW White Rock East and 200 MW Horizon Hill wind facilities.

"We are actively managing our portfolio by rotating capital into the most attractive opportunities within our core geographies,” said Joel Hunter, President and Chief Executive Officer of TransAlta. “This transaction monetizes a portion of our investment in a non-core geography while retaining operational control and continued participation in the Assets. The proceeds will strengthen our balance sheet and support accretive growth opportunities, including the Centralia conversion and Alberta data centre projects, as large-load growth, electrification and onshoring increase power demand across North America. We will continue to be nimble in focusing our investment and operational expertise where we can have the greatest impact. We are pleased to partner with Ares, a leading global asset manager with significant experience investing in renewable energy infrastructure and look forward to leveraging our combined strengths to further enhance the value of these assets," concluded Mr. Hunter.

“We are excited to partner with TransAlta on this portfolio of high-quality, contracted wind assets in Oklahoma,” said Josh Bellet, Managing Director in Ares Infrastructure Equity. “This transaction reflects our continued focus on investing in essential infrastructure that provides durable cash flows while helping meet the growing demand for power across the United States. We believe high-quality renewable generation assets will remain an important part of expanding domestic energy supply, and we look forward to working closely with TransAlta and its team of respected operators to support the long-term value of this portfolio.”

The Assets are supported by long-term contracts with investment-grade counterparties, including production tax credits which expire in 2034. In 2026 the Assets are expected to deliver Adjusted EBITDA(1) of approximately US$60 million, which based on a 49 per cent share, equates to approximately US$29 million. TransAlta will maintain operational oversight of the Assets under a long-term asset management agreement, leveraging its expertise in renewable generation.

TransAlta also announced today that it has completed the acquisition of Mountain Peak Power LLC and Canyon Peak Power LLC from Blackstone, Inc. for US$1.0 billion, inclusive of the assumption of US$750 million of senior secured project level debt. The acquisition includes two new, fully-contracted natural gas-fired peaking facilities totaling 318 MW near Denver, Colorado.
