TransMedics Announces Upsize and Pricing of Public Offering of Common Stock

ANDOVER, Mass., Aug. 4, 2022 /PRNewswire/ -- TransMedics Group, Inc. ("TransMedics") (Nasdaq: TMDX), a medical technology company that is transforming organ transplant therapy for patients with end-stage lung, heart and liver failure, announced today the upsize and pricing of an underwritten public offering of 3,250,000 shares of its common stock at a price to the public of $40.00 per share. All of the shares are being offered by TransMedics.

The gross proceeds from the offering, before deducting underwriting discounts and commissions and other offering expenses payable by TransMedics, are expected to be $130 million. The offering is expected to close on August 9, 2022, subject to the satisfaction of customary closing conditions. In addition, TransMedics has granted the underwriters a 30-day option to purchase up to an additional 487,500 shares of common stock at the public offering price, less underwriting discounts and commissions.

J.P. Morgan, Morgan Stanley and Cowen are acting as joint lead book-running managers for the offering. Canaccord Genuity is acting as lead manager for the offering.
