Key Terms

intellectual property regulatory
Intellectual property are legal rights that protect creations of the mind—such as inventions, brand names, designs, software, or secret formulas—giving the owner control over who can use, copy or sell them. For investors, IP is like owning a blueprint or recipe: it can generate steady income through exclusive sales or licensing, boost a company’s competitive edge and valuation, and also create costs or risks if rights must be defended or challenged in court.
summary judgment regulatory
Summary judgment is a court decision made without a full trial when a judge concludes there is no real dispute about the important facts and one side wins as a matter of law. For investors it matters because such a ruling can quickly end litigation that might otherwise drag on, reducing uncertainty about potential liabilities, legal costs and impacts on a company’s stock price — like a referee stopping a game when the outcome is clear.
no-code technical
No-code describes software platforms that let people build apps, automations, or websites using visual tools, drag-and-drop blocks and prebuilt templates instead of writing computer code. For investors, no-code matters because it can speed product launch and cut development costs—like assembling a piece of furniture from a kit instead of crafting it by hand—while also creating considerations around scalability, vendor dependence and long-term maintenance that can affect a company’s growth and margins.

NEWARK, N.J.--(BUSINESS WIRE)-- Tropare, Inc. (https://www.tropare.com/), a leading provider of data management solutions, announced today that on December 9, 2025, the Superior Court of New Jersey, Essex County (Law Division) granted the company’s Motion for Partial Summary Judgment in its litigation against Dun & Bradstreet, Inc. (“D&B”), formerly NYSE: DNB and now a portfolio company of Clearlake Capital Group, L.P. The suit involves D&B’s misappropriation of Tropare’s Confidential Information and Intellectual Property related to Tropare’s proprietary Data Selection Tool (“DST”).

The ruling establishes that D&B breached its contractual obligations to Tropare in connection with the companies’ prior partnership, which deployed Tropare’s DST to support shared customers.

In a comprehensive 15-page Statement of Reasons accompanying the Order, The Honorable Keith E. Lynott, J.S.C., concluded that the undisputed record “establishes conclusively a breach of contract by D&B.” Judge Lynott found that no rational factfinder could reach a different conclusion, citing D&B’s own internal documents and video evidence as clear proof of the breach.

According to the Court, D&B personnel operated and examined Tropare’s DST not to service the companies’ shared customer, Sprint, but to support D&B’s internal efforts to develop and validate a competing tool intended to replace Tropare’s technology. Sprint has since merged with T-Mobile US, Inc. (NASDAQ: TMUS) as of April 1, 2020, a detail relevant to the customer context underlying the dispute.

The Court held that D&B’s actions “contravened [its] express contractual commitment not to use Tropare’s Intellectual Property for a purpose other than as necessary to perform its obligations under the Agreement.”

“This decisive ruling validates what Tropare has maintained from the outset: Dun & Bradstreet misappropriated our Confidential Information and Intellectual Property for its own financial gain in clear violation of its contractual obligations,” said Greg Carpenter, CEO of Tropare. Carpenter added that the company expects to continue prevailing on its remaining claims — including alleged violations of the New Jersey Trade Secrets Act — and “looks forward to proving damages at trial, expected to be far in excess of $100 million.”

Tropare is represented by Michael J. Feldman, Esq., of OlenderFeldman LLP (https://olenderfeldman.com), and Christopher L. Pitet, Esq., of Adkisson Pitet LLP (https://apjuris.com).
