Tropare Secures Major Victory in Dispute With Dun & Bradstreet; New Jersey Superior Court Grants Tropare’s Motion for Summary Judgment on Breach of Contract Claim

The ruling establishes that D&B breached its contractual obligations to Tropare in connection with the companies’ prior partnership, which deployed Tropare’s DST to support shared customers.
In a comprehensive 15-page Statement of Reasons accompanying the Order, The Honorable Keith E. Lynott, J.S.C., concluded that the undisputed record “establishes conclusively a breach of contract by D&B.” Judge Lynott found that no rational factfinder could reach a different conclusion, citing D&B’s own internal documents and video evidence as clear proof of the breach.
According to the Court, D&B personnel operated and examined Tropare’s DST not to service the companies’ shared customer, Sprint, but to support D&B’s internal efforts to develop and validate a competing tool intended to replace Tropare’s technology. Sprint has since merged with T-Mobile US, Inc. (NASDAQ: TMUS) as of April 1, 2020, a detail relevant to the customer context underlying the dispute.
The Court held that D&B’s actions “contravened [its] express contractual commitment not to use Tropare’s Intellectual Property for a purpose other than as necessary to perform its obligations under the Agreement.”
“This decisive ruling validates what Tropare has maintained from the outset: Dun & Bradstreet misappropriated our Confidential Information and Intellectual Property for its own financial gain in clear violation of its contractual obligations,” said Greg Carpenter, CEO of Tropare.
