TOYO is not giving quarterly guidance or specific forecasts for revenue, net income or other financial measures.

TOYO cites uncertainty about its second-half results amid U.S. trade and regulatory developments. countervailing duty regulatory
"countervailing duty ("CVD") investigation activity"
A countervailing duty is a tariff a government places on imported goods to neutralize the effect of foreign government subsidies that make those goods artificially cheap. It matters to investors because it can raise costs for importers or shield domestic producers, affecting profit margins, sales volumes and supply chains—much like a referee adding weight to balance a tipped scale, which can shift competitive advantage and stock prices.
section 232 program regulatory
"the "Section 232 program""
A Section 232 program refers to actions taken under Section 232 of the U.S. Trade Expansion Act, a government process that investigates whether imports threaten national security and can result in tariffs, quotas, or other restrictions on specific foreign goods. It matters to investors because these trade measures can change costs, markets, and supply chains for affected companies—like a sudden change in a recipe that forces a baker to find new ingredient sources or pay more for them.
ebitda financial
"confident that it will achieve positive EBITDA for the second half of 2026"
EBITDA stands for earnings before interest, taxes, depreciation, and amortization. It measures a company's profitability by focusing on the money it makes from its core operations, ignoring expenses like taxes and accounting adjustments. Investors use EBITDA to compare how well different companies are performing financially, as it provides a clearer picture of operational success without the influence of financial structure or accounting choices.

TOKYO, Sept. 28, 2026 /PRNewswire/ -- TOYO Co., Ltd. (Nasdaq: TOYO) (OTC: TOYWF) ("TOYO" or the "Company"), a solar manufacturing company, today provided its business outlook for the second half of 2026.

The Company continues to operate in a dynamic U.S. trade and regulatory environment, including the pending U.S. Customs and Border Protection ("CBP") examination of shipments of solar cells, countervailing duty ("CVD") investigation activity, and the status of the Trump Administration's action under Section 232 of the Trade Expansion Act of 1962 addressing imports of polysilicon and downstream solar products, including provisions intended to encourage domestic manufacturing investment (the "Section 232 program"). As a result, TOYO believes there is meaningful uncertainty regarding its specific financial results for the second half of 2026, and the Company is not providing quarterly guidance or specific guidance on revenue, net income or other financial measures or metrics at this time.

Notwithstanding this uncertainty, TOYO is confident that it will achieve positive EBITDA for the second half of 2026. The Company will provide further updates to the market as greater visibility emerges on these policy and regulatory matters.

"In the second half of 2026, we remain in a relatively dynamic policy environment, and that creates meaningful uncertainty around our specific results," said Takahiko Onozuka, Chairman and Chief Executive Officer of TOYO. "That said, we are confident in positive EBITDA for the second half of the year. As we gain greater visibility on these policy matters, we will provide further updates to the market."
