The Meeting was originally scheduled to be held at 10:00 a.m. (Pacific Time) on September 22, 2026, and will instead be held on a date to be announced as soon as reasonably practicable.

The board of directors of the Company (the "Board") has determined that cancelling the Meeting is necessary and in the best interests of the Company and its stakeholders. As previously announced, TNR is investigating suspected coordinated acquisitions and voting of TNR shares by Eucalyptus Resources Opportunities Fund 1, LP ("Eucalyptus") and certain shareholders believed to be acting jointly or in concert with Eucalyptus.
