Trustar Bankshares, Inc. Announces $28.1 Million Private Placement Financing to Support Continued Growth
The financing combines common shares with non-voting preferred shares where JCSD’s investment would exceed 9.9% voting ownership.
Under the securities purchase agreement, Trustar will sell
In addition to customary closing conditions, the completion of the private placement is conditioned on, and expected to be completed concurrently with, Trustar Bank’s previously announced acquisition of certain branches and related assets of Forbright Bank. The completion of the branch acquisition is conditioned on receipt of required regulatory approvals and other customary closing conditions and is expected to close as early as the fourth quarter of 2026.
Trustar anticipates that the proceeds from the private placement will be used for general corporate purposes, including to support the capital of Trustar Bank following completion of the branch acquisition. Pursuant to the securities purchase agreement, Trustar has agreed to register the common stock owned by JCSD, including the common stock issuable upon conversion of the preferred stock, for resale within two years following the closing date of the investment.
