TXNM Energy and Blackstone Infrastructure Extend Merger Agreement

(Neutral)

TXNM Energy (NYSE: TXNM) and Blackstone Infrastructure have amended their merger agreement, extending the termination date to May 31, 2027, giving more time to secure remaining regulatory approvals for Blackstone Infrastructure’s acquisition of all outstanding TXNM Energy common stock.

According to TXNM Energy, the deal has already been cleared by the PUCT, FERC, FCC and under the Hart-Scott-Rodino waiting period, and was overwhelmingly approved by shareholders in August 2025. Approvals are still pending from the Nuclear Regulatory Commission and the New Mexico Public Regulation Commission (NMPRC), whose schedule is paused pending review of a compliance report tied to a voided 2025 stock transaction between TXNM Energy and Blackstone Infrastructure.

TXNM Energy has entered into a $400 million term loan to unwind that voided stock transaction and plans to issue common stock to repay the loan. The joint applicants intend to file a compliance report with the NMPRC before the end of July 2026, and, subject to re-establishing a procedural schedule and receiving remaining approvals, the transaction is estimated to close in the first half of 2027.

3 terms
merger agreement financial
"have extended the terms of their merger agreement"
A merger agreement is a binding contract that lays out the exact terms for two companies to combine, including the price, what each side will deliver, and the conditions that must be met before the deal is completed. Investors care because it sets the timetable, payouts and risks — like a blueprint or prenup that shows whether the deal is likely to close, how ownership will change, and what could cancel or alter the payout they expect.
term loan financial
"has entered into a $400 million term loan"
A term loan is a type of loan that is borrowed for a set period of time, with a fixed schedule for repaying the money, usually in regular payments. It matters to investors because it represents a company's borrowing costs and financial stability; reliable repayment of these loans can indicate strong financial health, while difficulties may signal potential risks.
hart-scott-rodino antitrust improvements act regulatory
"the waiting period required by the Hart-Scott-Rodino Antitrust Improvements Act"
A U.S. law that requires companies planning large mergers or acquisitions to notify federal antitrust authorities and wait for review before completing the deal. Think of it like applying for a building permit: regulators check whether the combined business would unfairly hurt competition and can clear the deal, impose changes, or seek to stop it, so the process affects transaction timing, cost, and whether expected benefits reach investors.
