("Andean"), a portfolio company of Maref Group, to Argentina Metals S.A.S., a wholly-owned subsidiary of the Company (the "Transaction").

The Vendors' Shares are subject to a statutory four-month-and-one-day hold period under applicable Canadian securities laws as well as contractual trading restrictions until March 27, 2027.
