Net proceeds are intended to fund exploration at the Marshall Lake project, bolster working capital, meet certain obligations, and support general corporate purposes.

The debentures, warrants and underlying shares will be subject to a four month and one day resale restriction. Closing is expected on or about the week of July 20, 2026, in one or more tranches, subject to TSXV approval and definitive documentation.
