Item 8.01. Other Events.

On October 29, 2025, Armada Acquisition Corp. II, a Cayman Islands exempted company (“SPAC”), issued a press release announcing that the ticker symbols for its Class A ordinary shares, units and public warrants will change from “AACI,” “AACIU” and “AACIW,” to “XRPN,” “XRPNU” and “XRPNW,” respectively. The changes are in connection with the previously announced Business Combination Agreement, entered into on October 19, 2025, by and among SPAC, Pathfinder Digital Assets LLC (the “Company”), Evernorth Holdings Inc. (“Pubco”) and the other parties thereto (the “Business Combination Agreement”). The ticker symbol changes will take place at the opening of trading on The Nasdaq Global Market on Thursday, October 30, 2025. The completion of the business combination (the “Business Combination”) contemplated by the Business Combination Agreement remains subject to shareholder approval and other customary closing conditions, and is expected to close in the first quarter of 2026.
