Rhea-AI Filing Summary

Arcosa, Inc. (ACA) completed its merger with CRH Americas, Inc. on October 23, 2026, becoming a wholly owned subsidiary of CRH Americas, an indirect wholly owned subsidiary of CRH plc. Each outstanding common share, except restricted stock awards, shares held by Arcosa, CRH Americas or Neon Merger Sub, and shares whose holders properly exercised appraisal rights after not voting for the merger, converted into the right to receive $150.00 in cash, without interest and less applicable withholding taxes. Aggregate cash consideration for common stock and cash-settled equity awards was approximately $7.5 billion.

Arcosa repaid approximately $450.1 million in principal, accrued interest and other amounts due under its credit agreement, which was terminated; related guarantees and liens were released subject to customary surviving obligations. Arcosa incurred no material early termination fees or penalties.

Trading was halted on the NYSE and NYSE Texas before the October 23 opening, and Arcosa requested delisting. Its pre-closing directors and officers ceased their roles, and Neon Merger Sub’s directors and officers became Arcosa’s directors and officers. Arcosa intends to file Form 15 after delisting becomes effective.

Filing Explained

At the October 23, 2026 closing, unvested restricted-stock and RSU awards granted before June 21 that remained outstanding vested and became cash claims at $150 per share, plus unpaid dividend equivalents; performance-based RSUs used the greater of target performance or actual performance achieved by closing.

Merger Consideration financial
"the $150.00 per share Merger Consideration"
Merger consideration is the total payment a company or buyer offers to shareholders of a target company in exchange for combining the two businesses, and can include cash, shares in the surviving company, debt assumption, or a mix of these. Investors care because the form and amount affect the deal’s value, tax consequences, immediate cash received versus future ownership, and the risk and upside of holding new shares — similar to choosing between cash now or stock that could grow later.
appraisal rights regulatory
"properly exercised appraisal rights"
A legal right that lets shareholders who dislike the price or terms of a buyout, merger or other major corporate change ask for an independent determination of the fair value of their shares instead of accepting the deal price. Think of it like asking a neutral referee to set the payout if you believe the offered price is too low. For investors, appraisal rights can provide a way to recover a higher cash value but can be slow, costly and create uncertainty around deal outcomes.
bridge facility agreement financial
"a $3.25 billion bridge facility agreement"
A bridge facility agreement is a short-term loan contract that provides immediate cash to a company while it arranges longer-term financing or completes a sale. It matters to investors because it affects a company’s near-term liquidity, debt load and the timing or terms of permanent funding; like a temporary bridge that keeps traffic moving while a permanent span is built, it fills funding gaps and can change a company’s financial picture.
Form 25 regulatory
"notification of removal from listing and registration on Form 25"
A Form 25 is an official filing with the U.S. Securities and Exchange Commission used to remove a company's stock or other security from a national exchange list. Investors should care because delisting often means less visibility, lower trading volume and wider price swings—similar to a product moving from a major supermarket to a small local market, which can make buying, selling and valuing the security more difficult.
Form 15 regulatory
"certification and notice of termination of registration on Form 15"
A Form 15 is a short filing a public company uses with the U.S. Securities and Exchange Commission to stop or pause its routine public reporting requirements when it meets certain legal thresholds (such as a low number of public shareholders) or other qualifying conditions. Investors should care because filing one typically means less public financial information and lower trading liquidity—similar to a shop taking down its public notice board, making it harder to track performance and buy or sell shares.
