Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Actuate Therapeutics, Inc. (ACTU) received Nasdaq notice that its common stock closed below the $1.00 per-share minimum bid price for 30 consecutive business days, creating a listing deficiency. The notice has no immediate effect: the stock continues to trade on The Nasdaq Global Market.

ACTU has an initial 180-calendar-day compliance period, through April 26, 2027. It must have a closing bid of at least $1.00 for 10 consecutive business days and meet other listing requirements. If it does not, it may qualify for a second 180-calendar-day period by applying to transfer to Nasdaq Capital Market and meeting that market's other applicable requirements. Separately, ACTU has until January 11, 2027, to regain compliance with the minimum market value of listed securities requirement. The company said there can be no assurance it will regain compliance or obtain an additional period.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

If Actuate fails to regain the required bid-price compliance within its allotted periods, including any Nasdaq-granted extensions, its common stock will be subject to delisting.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing Securities
The company received a delisting notice, failed to satisfy a continued-listing rule or standard, or transferred its listing.
Minimum bid price $1.00 per share Nasdaq Global Market continued-listing requirement
Period below minimum bid price 30 consecutive business days Closing bid price was below $1.00 per share
Initial compliance period 180 calendar days Ends April 26, 2027
Required bid-price period 10 consecutive business days Closing bid price must be at least $1.00 per share
Potential second compliance period 180 calendar days May be available if ACTU applies to transfer to the Nasdaq Capital Market and meets applicable requirements
Minimum market value compliance deadline January 11, 2027 Separate Nasdaq listing deficiency
Minimum Bid Price Requirement regulatory
"regain compliance with the Minimum Bid Price Requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
market value of listed securities regulatory
"minimum market value of listed securities (MVLS) requirement"
Market value of listed securities is the market value of the shares a company has listed on an exchange, calculated as the closing bid price multiplied by the number of listed shares. Exchanges use it as a continued-listing standard, so a company that stays under the required minimum receives a deficiency notice and is given a set period to recover before facing delisting.
initial listing standards regulatory
"all other initial listing standards for the Nasdaq Capital Market"

Item 3.01Notice of Delisting or Failure to Satisfy Continued Listing Rule or Standard; Transfer of Listing.

On October 28, 2026, Actuate Therapeutics, Inc. (the “Company”) received a written notice (the “Notice”) from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, for the last 30 consecutive business days, the bid price for the Company’s common stock (the “Common Stock”) had closed below the $1.00 per share minimum bid price requirement for continued inclusion on The Nasdaq Global Market pursuant to Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Price Requirement”).

The Notice has no immediate effect on the listing of the Common Stock, which continues to trade on The Nasdaq Global Market under the symbol “ACTU”. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has an initial compliance period of 180 calendar days, or until April 26, 2027, to regain compliance with the Minimum Bid Price Requirement.

To regain compliance, the closing bid price of the Company’s Common Stock must be at least $1.00 per share for a minimum of 10 consecutive business days during the 180-day compliance period ending April 26, 2027, as required under Nasdaq Listing Rule 5810(c)(3)(A), and the Company must otherwise satisfy The Nasdaq Global Market’s requirements for listing.

If the Company does not regain compliance during the compliance period, the Company may be provided a second 180 calendar day period to regain compliance if it applies to transfer the listing of the Company’s Common Stock to the Nasdaq Capital Market. To qualify, the Company must meet the continued listing requirement for market value of publicly-held shares and all other initial listing standards for the Nasdaq Capital Market (with the exception of the Minimum Bid Price Requirement), based on the Company’s most recent public filings and market information and notify Nasdaq of its intent to cure the deficiency. If the Company does not regain compliance within the allotted compliance periods, including any extensions that may be granted by Nasdaq, the Company’s stock will be subject to delisting.

The Company is actively monitoring the closing bid price of its Common Stock and will consider all available options to regain compliance with the Minimum Bid Price Requirement. There can be no assurance that the Company will regain compliance with the Minimum Bid Price Requirement during the 180-day compliance period, secure a second 180-day period to regain compliance, maintain compliance with the other Nasdaq listing requirements or be successful in appealing any delisting determination.

As previously disclosed in the Company’s Current Report on Form 8-K filed with the SEC on July 17, 2026, on July 15, 2026 the Company received a separate notice from Nasdaq indicating that the Company did not comply with (i) the minimum market value of listed securities (“MVLS”) requirement set forth in Nasdaq Listing Rule 5450(b)(2)(A). The Company was given until January 11, 2027 to regain compliance with the MVLS requirement. The notice concerning the Minimum Bid Price Requirement above does not affect the compliance period to regain compliance with the MVLS requirement. The Company’s ability to obtain an additional compliance period for the Minimum Bid Price Requirement may depend on, among other things, its satisfaction of the applicable continued and initial listing requirements of The Nasdaq Capital Market.
