Aedis Energy Inc. (ADIS) amended its annual report for the year ended December 31, 2025, to correct the principal executive and principal financial officer certifications and add two Master Services Agreements as exhibits. The certifications now include the omitted reference to internal control over financial reporting and restore the representation about the design of those controls. The agreements, each dated September 30, 2025, are between Alternus Clean Energy, Inc. and EverOn Energy LLC, and between Hover Energy LLC and EverOn Energy LLC.
Aedis says the amendment does not affect previously reported financial statements, results of operations, cash flows or stockholders’ equity, or conclusions about disclosure controls or internal control over financial reporting. It describes the omission as a drafting error, not the result of an identified material weakness or significant deficiency. Other than these changes, the amendment makes no revisions to the annual report and does not update disclosures for later events.
