As previously disclosed, on June 23, 2026, the Nasdaq Hearings Panel notified Aditxt, Inc. (the “Company”) that it had denied the Company’s request to continue the listing of its common stock on The Nasdaq Stock Market LLC (“Nasdaq”) and that trading in the Company’s common stock would be suspended effective at the open of trading on June 25, 2026. Trading in the Company’s common stock on Nasdaq has been suspended since that time.

 

On September 17, 2026, Nasdaq publicly announced that it will file a Form 25 with the Securities and Exchange Commission (the “SEC”) to complete the delisting of the Company’s common stock from Nasdaq. The delisting will become effective ten days after the filing of the Form 25. A copy of Nasdaq’s announcement is attached hereto as Exhibit 99.1.

 

The Company’s common stock is currently quoted on the OTC Market.
