Rhea-AI Filing Summary

Advantage Solutions Inc. (ADV) amended employment agreements effective October 30, 2026 with CEO David Peacock, CFO Christopher Growe, and Chief Operating Officers Jeffrey Harsh (Branded Services) and Michael Taylor (Retailer Services and Activation). For a Change in Control Qualifying Termination, Peacock's agreement provides a lump sum of 2 times target annual bonus and 100% accelerated vesting of outstanding time-based equity awards. Growe's and Harsh's agreements provide 18 months of base salary continuation and employer-paid COBRA, a lump sum of 1.5 times target annual bonus, 100% accelerated vesting, and an 18-month post-termination option exercise period; Harsh also has 12 months of employer-paid COBRA after a Qualifying Termination. Taylor's COBRA after a Qualifying Termination extends from nine months to 12 months. For a Change in Control Qualifying Termination, his agreement provides 1.5 times base salary and target annual bonus paid over 18 months, a prorated bonus based on actual results, 18 months of COBRA, outplacement services, 100% accelerated vesting, and an 18-month option exercise period. For the specified benefits tied to awards granted before October 30, 2026, eligibility requires a Qualifying Termination within 24 months following a Change in Control.

Filing Explained

The October 30 amendments add a pre-change-in-control trigger: after a definitive deal that would produce a change in control is signed, a transaction-related qualifying termination within the six months before the change can activate the specified severance, even before the change in control occurs.

What counts as a change-in-control qualifying termination at ADV?

It means a termination by Advantage Solutions without cause or by the executive for good reason within 24 months after a change in control, or such a termination within six months before a change in control after a definitive agreement for a potential change-in-control transaction, when it is connected to that transaction as determined by the company in good faith and is not for an unrelated reason.
