Closing of Private Placement Financing

 

As previously disclosed, on August 24, 2026, Antelope Enterprise Holdings Ltd. (the “Company”) entered into a securities purchase agreement (the “Purchase Agreement”) with certain non-U.S. investors (collectively, the “Purchasers”). Under the Purchase Agreement, the Company agreed to sell to the Purchasers 15,000,000 Class A ordinary shares, no par value per share (the “Ordinary Shares”), at a purchase price of $1.266 per share, together with warrants to purchase 15,000,000 Ordinary Shares at an exercise price of $0.50 per share, for an aggregate purchase price of $18,990,000.

 

On September 3, 2026, the Company consummated the transactions contemplated by the Purchase Agreement and completed the private placement financing.
