Rhea-AI Filing Summary

Agencia Comercial Spirits Ltd. said its wholly owned subsidiary AGCC Singapore entered a long-term agreement with a Singapore-based AI computing resource provider to secure capacity in Indonesia. Deployment is phased, with a five-year term for each batch beginning upon delivery and acceptance. Assuming all contemplated capacity is confirmed, delivered and accepted, aggregate contractual charges under current pricing would be approximately US$300 million to US$400 million over the full term, excluding applicable taxes and additional infrastructure and operating costs. Some contemplated capacity requires subsequent written confirmation by AGCC Singapore.

The separate contractual ceiling for advance payments is US$150 million to US$160 million, not the total contract value; amounts in delivery notifications signed by both parties become unconditionally payable within 14 days after signing. Agencia Comercial Spirits Ltd. guarantees AGCC Singapore’s payment obligations, and the Group bears colocation, electricity, networking, and operation and maintenance costs. Payments for accepted capacity are not contingent on customer utilization or receipts, and the agreement itself generates no customer revenue. Deployment remains subject to resource availability, funding, facility readiness and applicable regulatory requirements; successful deployment, customer utilization, revenue, profitability and positive cash flow are not assured.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

The agreement restricts early termination; declining additional capacity may still require payment of procurement, cancellation and financing costs or, in specified circumstances, taking already-procured assets at cost. Refunds are subject to set-off and may, in specified circumstances, be made through non-cash asset transfers.

Aggregate contractual charges Approximately US$300 million to US$400 million Over the full term under current pricing, assuming all contemplated capacity is confirmed, delivered and accepted; excludes applicable taxes and additional infrastructure and operating costs.
Advance-payment ceiling US$150 million to US$160 million Contractual aggregate ceiling; not the total contract value.
Term Five years For each batch, commencing upon delivery and acceptance.
Payment deadline 14 days After both parties sign the delivery notification.
Advance-payment credit schedule 60 equal monthly instalments Credited against monthly contractual charges from the first monthly invoice for the relevant capacity.
delivery and acceptance technical
"five-year term commencing upon delivery and acceptance of each batch"
contractual set-off financial
"Refunds are subject to contractual set-off"
colocation technical
"responsible for colocation, electricity, networking"
Colocation is the practice of placing a trader’s computer servers inside or next to an exchange’s data center so their orders travel the shortest possible distance to the exchange’s computers. For investors this matters because even tiny gains in speed can mean better trade prices or reduced slippage—like being first in line at a checkout—so firms that colocate can gain steady, measurable advantages or incur extra costs that affect returns.

Long Term AI Computing Capacity Arrangement

On October 16, 2026, Agencia Comercial Spirits Ltd (the “Company”), through its wholly-owned subsidiary, AGCC Singapore Pte. Ltd. (“AGCC Singapore”), entered into a long-term agreement (the “Agreement”) with a Singapore-based provider of AI computing resources (the “Provider”) to secure access to AI computing resources in Indonesia. The Agreement follows the previously disclosed preliminary arrangement announced on July 17, 2026 and provides for phased deployment of the contracted capacity, with a five-year term commencing upon delivery and acceptance of each batch.

Based on the current pricing schedule and assuming all contemplated capacity is confirmed, delivered and accepted, aggregate contractual charges over the full term would be approximately US$300 million to US$400 million, excluding applicable taxes and additional infrastructure and operating costs. Part of the contemplated capacity is subject to subsequent written confirmation by AGCC Singapore. Prices for the fourth and fifth years may be renegotiated, with the scheduled prices continuing if no new prices are agreed. Actual expenditure will depend on the capacity confirmed, delivery and acceptance, and the Agreement’s terms.

The Agreement provides for staged advance payments, with a contractual aggregate ceiling for advance payments within the range of US$150 million to US$160 million. This ceiling is not the total contract value. The actual amounts are specified in delivery notifications signed by both parties; each notified amount becomes unconditionally payable within 14 days after both parties sign the notification. Advance payments actually paid are credited against monthly contractual charges in 60 equal monthly instalments from the first monthly invoice for the relevant capacity. The Agreement also provides for the carry-forward of an existing deposit and a Company guarantee of AGCC Singapore’s payment obligations.

The Company and its subsidiaries (the “Group”) are responsible for colocation, electricity, networking and operation and maintenance costs. Title to the underlying hardware remains with the Provider on normal expiry. Payment obligations for accepted capacity are not contingent on customer utilisation or receipts. Early termination is restricted and may require substantial termination compensation. Electing not to proceed with additional capacity may also require payment of procurement, cancellation and financing costs and, in specified circumstances, taking over assets already procured for the arrangement at cost. Refunds are subject to contractual set-off and, in specified circumstances, may include non-cash asset transfers.

The Agreement creates a long-term commitment to secure AI computing capacity and does not itself generate customer revenue. Deployment remains subject to the agreed delivery and acceptance procedures, availability of the underlying resources, funding, facility readiness and applicable regulatory requirements. Successful deployment, customer utilisation, revenue, profitability and positive cash flow are not assured.
