On
January 30, 2026, Michael Brodsky notified the board of directors (the “Board”) of Powerfleet, Inc. (the “Company”)
of his resignation as a director of the Company, effective immediately.

February 3, 2026, the Company issued a press release announcing Mr. Brodsky’s resignation as a director of the Company and the
appointment of Mr. Martin as Chairman of the Board. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated
