Rhea-AI Filing Summary

reAlpha Tech Corp. (AIRE) reported that shareholders at its November 5, 2026 annual meeting elected all five director nominees and ratified GBQ Partners, LLC as the independent registered public accounting firm for fiscal 2026. Shareholders authorized the board, at its discretion, to effect a reverse split of issued and outstanding common stock at a ratio from one-for-two (1:2) to one-for-fifty (1:50), at any time before the one-year anniversary of approval.

Shareholders approved proposals for issuance of common stock in excess of 19.99% of the issued and outstanding common stock immediately before each of the Prevu and InstaMortgage merger agreements, for Nasdaq listing-rule purposes. They also approved the adjournment proposal, though an adjournment was not necessary after the reverse-split and both issuance proposals passed. A total of 3,083,222 shares of common stock on an as-converted basis were present or represented, equal to approximately 51.24% of voting power and sufficient for a quorum.

as-converted basis financial
"shares of the Company’s common stock (on an as-converted basis)"
As-converted basis means counting securities that can become common stock—like convertible bonds or preferred shares—as if they already were common shares when calculating totals such as shares outstanding, ownership percentages, or per-share metrics. Investors use it to see the potential dilution and the “what-if” size of the shareholder base; it’s like imagining all restaurant coupons have been redeemed so you know how crowded the table could become and how slices of the pie would shrink.
quorum regulatory
"constituted a quorum for the transaction of business"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
broker non-votes regulatory
"Broker Non-Votes"
Broker non-votes occur when a brokerage firm is unable to vote on a shareholder’s behalf during a company election or decision because the shareholder has not given specific voting instructions, and the broker is not allowed or chooses not to vote on certain matters. They are important because they can affect the outcome of votes, especially when the results are close, by effectively reducing the total number of votes cast.
Nasdaq Listing Rules 5635(a) and 5635(d) regulatory
"for purposes of complying with Nasdaq Listing Rules 5635(a) and 5635(d)"
