Rhea-AI Filing Summary

Sumisho Air Lease Corporation reported third-quarter 2026 total revenues of $592.6 million, down 18.3% from $725.4 million in third-quarter 2025, and net income attributable to common stockholders of $93.4 million, down 31.0% from $135.4 million. Rental revenue was $556.7 million versus $680.9 million. The company attributed lower rental revenue mainly to reduced average net book value of operating-lease aircraft after the sale of its orderbook and continued sales; lower revenues, higher servicing fees and interest expense, and smaller insurance recoveries also contributed to lower net income.

During the quarter, it sold 15 aircraft for $761.9 million in proceeds. At September 30, 2026, it had 473 owned aircraft, 32 managed aircraft, $4.2 billion in liquidity and $19.3 billion of debt financing, net of discounts and issuance costs. It received $27.3 million in cash insurance proceeds in September from settlement of claims related to its former Russian fleet. The merger closed in April 2026, and the company cautioned that successor and predecessor results may not be comparable because of acquisition accounting.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Fourth-quarter 2026 depreciation is expected at about one hundred ninety-two million dollars.

The quarterly-results release says Sumisho Air Lease’s $4.3 billion aircraft sales pipeline is expected to close in Q4 2026 or Q1 2027; that value is prospective, not sale proceeds already realized.

The pipeline includes approximately $4.3 billion of aircraft held for sale and approximately $55.3 million of aircraft subject to letters of intent; it also includes letters of intent and sale agreements signed through November 5, 2026.

The company expects quarterly depreciation of about $192 million in the fourth quarter.

acquisition method of accounting financial
"The merger was accounted for using the acquisition method of accounting"
An accounting method used when one company obtains control of another; the acquirer records the purchase by measuring the fair value of the consideration it gives up, identifying and measuring the acquiree’s identifiable assets and liabilities at their fair values, and recognizing either goodwill for excess purchase price or a gain if the fair value of net assets exceeds consideration. Measurement-period adjustments are allowed to revise provisional amounts as more information becomes available; the method applies only when control is obtained and replaces earlier approaches that combined owners’ interests without fair-value measurement.
weighted-average remaining lease term financial
"Weighted-average remaining lease term of flight equipment subject to operating leases"
The weighted-average remaining lease term is the average time left on all leases in a portfolio, where longer or larger leases count more than shorter or smaller ones. Think of it like calculating the average expiration date of many subscriptions but giving bigger subscriptions more influence; investors use it to judge how long rental income is likely to stay stable, how soon tenants might leave, and how predictable future cash flows and property values are.
composite cost of funds financial
"Our composite cost of funds was 4.51%"
sales-type leases financial
"Net investment in sales-type leases"
A sales-type lease is when the owner of an asset treats a long-term lease more like a sale: the owner records the lease as if it sold the asset and recognizes any immediate profit, while the buyer records a financed purchase. Think of it as selling a car but letting the buyer pay over time with the seller recording a sale now. Investors care because it changes reported revenue, profit, and asset balances, which can affect valuation and cash-flow analysis.

Highlights
•We ended the period with 473 aircraft in our owned fleet and approximately $29.9 billion in total assets.
•Sold 15 aircraft during the three months ended September 30, 2026 for $761.9 million in sales proceeds.
•We have $4.3 billion of aircraft in our sales pipeline1, which includes approximately $4.3 billion in flight equipment held for sale and approximately $55.3 million of aircraft subject to letters of intent as of September 30, 2026.
•In September 2026, we received $27.3 million in cash insurance proceeds from the settlement of insurance claims with all of the Airlines’ Insurers related to our former Russian fleet. As of November 5, 2026, we do not have any pending litigation related to the Russian Fleet write-off that was recorded in March of 2022 at the onset of the Russia-Ukraine War.

Financial Overview
Third Quarter 2026 vs. Third Quarter 2025
Our rental of flight equipment revenues for the three months ended September 30, 2026, decreased by approximately 18.2%, to $556.7 million, as compared to $680.9 million for the three months ended September 30, 2025. The decrease is primarily due to a lower weighted average net book value of our flight equipment subject to operating leases resulting from the sale of our orderbook and continued sales activity. The net book value of our flight equipment subject to operating leases decreased to $23.7 billion as of September 30, 2026 from a net book value of $29.5 billion as of September 30, 2025.

Our gain on aircraft sales and trading and other income decreased to $36.0 million compared to $44.5 million for the three months ended September 30, 2025. The decrease was primarily driven by lower gains on aircraft sales as a result of acquisition accounting adjustments, partially offset by higher management fee revenue attributable to disposition fees earned on sales of managed aircraft. As a result of the application of the acquisition method of accounting, the carrying values of our flight equipment subject to operating leases and our flight equipment held for sale as of the date of the merger were adjusted to fair value. For the three months ended September 30, 2026, we sold 15 aircraft to third parties resulting in $0.6 million in gains compared to $35.0 million in gains from the sale of five aircraft for the three months ended September 30, 2025. Sales proceeds for the 15 aircraft sold during the three months ended September 30, 2026 were $761.9 million.

Excluding the $27.3 million and $60.5 million insurance recoveries related to our Russian fleet in the three months ended September 30, 2026, and 2025, respectively, total operating expenses decreased 17.9% to $493.1 million for the three months ended September 30, 2026, compared to $600.9 million in the prior-year period. The decrease was primarily due to lower depreciation expense because of a decrease in the weighted average net book value of our flight equipment subject to operating leases, resulting from the sale of our orderbook and continued sales activity and revised aircraft depreciation estimates, partially offset by an increase in servicing fees and higher interest expense due to the amortization of fair value adjustments resulting from purchase accounting, and an increase in our composite cost of funds.

During the three months ended September 30, 2026, we reported a net income attributable to common stockholders of $93.4 million, compared to net income attributable to common stockholders of $135.4 million for the three months ended September 30, 2025. The decrease was primarily driven by lower total revenues, an increase in servicing fees and higher interest expense due to fair value adjustments and an increase in composite costs of funds, partially offset by lower depreciation expense as discussed above. In addition, we recognized a net benefit of $27.3 million from insurance claims associated with our former Russian fleet as compared to $60.5 million in the prior-year period, further contributing to the decrease in net income attributable to common stockholders.

During the three months ended September 30, 2026, adjusted net income before income taxes decreased to $123.1 million from $144.5 million for the three months ended September 30, 2025. The decrease was primarily attributable to lower total revenues, an increase in servicing fees under the Servicing Agreement entered into in connection with the Merger, partially offset by a lower depreciation expense, as discussed above.
1 Aircraft in our sales pipeline is as of September 30, 2026, and includes letters of intent and sale agreements signed through November 5, 2026.

Our Fleet
As of September 30, 2026, the net book value of our flight equipment subject to operating leases was $23.7 billion, compared to $29.1 billion as of December 31, 2025. On April 8, 2026, the carrying value of our flight equipment was adjusted to reflect the fair value adjustments recorded as part of the purchase price allocation in connection with the merger. In addition, during the Successor period from April 8, 2026 through September 30, 2026, approximately $4.6 billion of aircraft assets were reclassified to flight equipment held for sale, resulting in a corresponding decrease in the net book value of flight equipment subject to operating leases. As of September 30, 2026, we owned 473 aircraft in our aircraft portfolio, comprised of 339 narrowbody aircraft and 134 widebody aircraft, and we managed 32 aircraft. The weighted average fleet age and weighted average remaining lease term of flight equipment subject to operating leases as of September 30, 2026 was 5.0 years and 6.8 years, respectively. We had a globally diversified customer base comprised of 94 airlines in 51 countries as of September 30, 2026.
We revised our aircraft depreciation estimates starting in the third quarter of 2026 based on updated information about expected disposition timing and residual values. Compared with previous estimates, the change reduced depreciation expense by $38.8 million for the three months ended September 30, 2026. See Note 2 of the Notes to Consolidated Financial Statements in our Quarterly Report on Form 10-Q for the quarter ended September 30, 2026 for further discussion. We expect the quarterly depreciation expense to be approximately $192 million for the fourth quarter of 2026.

This press release contains statements that constitute forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. Those statements appear in a number of places in this press release and include statements regarding, among other matters, our aircraft sales pipeline and expectations and other factors affecting our financial condition or results of operations. Words such as “can,” “could,” “may,” “predicts,” “potential,” “will,” “projects,” “continuing,” “ongoing,” “expects,” “anticipates,” “intends,” “plans,” “believes,” “seeks,” “estimates” and “should,” and variations of these words and similar expressions, are used in many cases to identify these forward-looking statements. Any such forward-looking statements are not guarantees of future performance and involve risks, uncertainties, and other factors that may cause our actual results, performance or achievements, or industry results to vary materially from our future results, performance or achievements, or those of our industry, expressed or implied in such forward-looking statements. Such factors include, among others:

•we have a significant amount of indebtedness, requiring a substantial portion of our cash flows to be dedicated to debt service payments, and we will require significant capital to satisfy our outstanding debt obligations as they come due;
•despite our substantial indebtedness levels, we may still be able to incur significantly more debt, which could exacerbate the risks associated with our substantial debt;
•changes in our cost of borrowing or interest rate increases may adversely affect our net income and our ability to compete in the marketplace;
•any negative changes in our credit ratings may limit our ability to obtain financing or increase our borrowing costs;
•our senior unsecured securities will be effectively subordinated to our secured debt to the extent of the value of the assets securing such indebtedness;
•the limited covenants applicable to our senior unsecured securities may not provide protection against some events or developments that may affect our ability to repay such securities or the trading prices for such securities;
•we may be unable to generate sufficient returns on our aircraft investments which may have an adverse impact on our net income;
•failure to complete our planned aircraft sales could affect our net income and credit ratings and may lead us to use alternative sources of liquidity;
•if our aircraft become obsolete or experience a decline in customer demand, our ability to lease and sell those aircraft and our results of operations may be negatively impacted and may result in impairment charges;
•potential conflicts of interest may arise from SMBC AC’s role as the exclusive servicer of our aircraft leased to non-U.S. airlines;
•after the merger, we no longer have an OEM orderbook, which may impact our ability to manage our aircraft portfolio and, if we are unable to obtain new and younger aircraft, it may increase our re-leasing risk and residual value risk;
•aircraft have limited economic useful lives and depreciate over time and we may be required to record an impairment charge or sell aircraft for a price less than their depreciated book value, which may impact our financial results;
•we are dependent on the ability of our lessees to perform their payment and other obligations to us under our leases and their failure to do so may materially and adversely affect our financial results and cash flows;
•we may experience increased competition from other aircraft lessors which may impact our ability to execute our long-term strategy;
•our lessees may fail to adequately insure our aircraft or fulfill their indemnity obligations, or we may not be able to adequately insure our aircraft or insurers may not fulfill their policy obligations, which may result in increased costs and liabilities;
•other events affecting our business or the business of our lessees and aircraft manufacturers or their suppliers that are beyond our or their control, such as the threat or realization of epidemic diseases, natural disasters, terrorist attacks, war or armed hostilities between countries or non-state actors; and
•any additional factors discussed under “Part I — Item 1A. Risk Factors,” in our Annual Report on Form 10-K for the year ended December 31, 2025, and “Part II — Item 1A. Risk Factors” in our Quarterly Report on Form 10-Q for the quarter ended March 31, 2026, and other Securities and Exchange Commission (“SEC”) filings, including future SEC filings.

All forward-looking statements are necessarily only estimates of future results, and there can be no assurance that actual results will not differ materially from expectations. You are therefore cautioned not to place undue reliance on such statements. Any forward-looking statement speaks only as of the date on which it is made, and we do not intend and undertake no obligation to update any forward-looking information to reflect actual results or events or circumstances after the date on which the statement is made or to reflect the occurrence of unanticipated events.

Factors Affecting Comparability of Financial Results

The merger was accounted for using the acquisition method of accounting. Under the acquisition method of accounting, we have up to one year from the Effective Time to obtain the information necessary to finalize the fair values of the assets acquired and liabilities assumed. As of September 30, 2026, the purchase accounting allocation remained preliminary. The application of acquisition accounting resulted in certain adjustments that affect the comparability of our results of operations to those of our Predecessor, including changes in the carrying values of assets acquired and liabilities assumed and the related depreciation and amortization expense, as well as transaction expenses associated with the merger. Refer to Note 3 Merger Transaction and Purchase Accounting, to the accompanying Notes to Consolidated Financial Statements included in Part I, Item 1 of our Quarterly Report on Form 10-Q for the quarter ended September 30, 2026 for additional information regarding the preliminary allocation of consideration transferred to the assets acquired and liabilities assumed.

As noted elsewhere, we revised our aircraft depreciation estimates starting in the third quarter of 2026 based on updated information about expected disposition timing and residual values. These revised estimates are separate from the acquisition-date fair value adjustments. These revisions were applied prospectively and did not affect prior periods presented. See Note 2 of the Notes to Consolidated Financial Statements in our Quarterly Report on Form 10-Q for the quarter ended September 30, 2026 for further discussion.

The comparability of our operating results for the period from April 8, 2026 through September 30, 2026 (Successor), January 1, 2026 through April 7, 2026 (Predecessor) and the nine-month period ended September 30, 2025 (Predecessor) was impacted by the merger. Although U.S. GAAP requires that we report our results for the Predecessor period before the merger and the Successor period after the merger separately, our operating results for the nine months ended September 30, 2026 are shown by combining the results of the Predecessor and Successor periods (“Non-GAAP Combined”) in order to compare to the same period in the prior year. The combined results for the nine months ended September 30, 2026 represent the sum of the reported amounts for the Predecessor period from January 1, 2026 through April 7, 2026 and the Successor period from April 8, 2026 through September 30, 2026. The combined results of operations included in our discussion below are not considered to be prepared in accordance with U.S. GAAP because a different basis of accounting was used with respect to the financial results for the Predecessor as compared to the financial results of the Successor and have not been prepared as pro forma results under applicable regulations. The Non-GAAP Combined results do not reflect the actual results we would have achieved had the merger occurred at the beginning of fiscal 2026 and are not necessarily indicative of future results. Accordingly, the results for the combined nine-month period ended September 30, 2026 (prepared on a Non-GAAP basis) and the nine-month period ended September 30, 2025 (prepared on a GAAP basis) may not be comparable.

(1) Adjusted net income before income taxes (defined as net income attributable to common stockholders excluding the effects of certain non-cash items and other items that we do not believe are indicative of our ongoing operations, such as retirement compensation, merger related costs and recoveries related to our former Russian fleet, and certain other items) and adjusted pre-tax margin (defined as adjusted net income before income taxes divided by total revenues) are measures of operating performance that are not defined by GAAP and should not be considered as an alternative to net income attributable to common stockholders and pre-tax margin, or any other performance measures

derived in accordance with GAAP. Adjusted net income before income taxes and adjusted pre-tax margin are presented as supplemental disclosure because management believes they provide useful information on our earnings from ongoing operations.

Management and our board of directors use adjusted net income before income taxes and adjusted pre-tax margin to assess our consolidated financial and operating performance. Management believes these measures are helpful in evaluating the operating performance of our ongoing operations and identifying trends in our performance, because they remove the effects of certain non-cash items, and other items that we do not believe are indicative of our ongoing operations. Adjusted net income before income taxes and adjusted pre-tax margin, however, should not be considered in isolation or as a substitute for analysis of our operating results or cash flows as reported under GAAP. Adjusted net income before income taxes and adjusted pre-tax margin do not reflect our cash expenditures or changes in our cash requirements for our working capital needs. In addition, our calculation of adjusted net income before income taxes and adjusted pre-tax margin may differ from the adjusted net income before income taxes and adjusted pre-tax margin, or analogous calculations of other companies in our industry, limiting their usefulness as a comparative measure.

The following table shows the reconciliation of the numerator for adjusted pre-tax margin (in thousands, except percentages):

Forward Looking Statements This presentation contains statements that constitute forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. Those statements appear in a number of places in this presentation and include statements regarding, among other matters, the state of the airline industry, our ability to access the capital and debt markets, our aircraft sales pipeline and expectations, changes in inflation and interest rates and other macroeconomic conditions and other factors affecting our financial condition or results of operations. Such factors include, among others: • we have a significant amount of indebtedness, requiring a substantial portion of our cash flows to be dedicated to debt service payments, and we will require significant capital to satisfy our outstanding debt obligations as they come due; • despite our substantial indebtedness levels, we may still be able to incur significantly more debt, which could exacerbate the risks associated with our substantial debt; • changes in our cost of borrowing or interest rate increases may adversely affect our net income and our ability to compete in the marketplace; • any negative changes in our credit ratings may limit our ability to obtain financing or increase our borrowing costs; • our senior unsecured securities will be effectively subordinated to our secured debt to the extent of the value of the assets securing such indebtedness; • the limited covenants applicable to our senior unsecured securities may not provide protection against some events or developments that may affect our ability to repay such securities or the trading prices for such securities; • we may be unable to generate sufficient returns on our aircraft investments which may have an adverse impact on our net income; • failure to complete our planned aircraft sales could affect our net income and credit ratings and may lead us to use alternative sources of liquidity; • if our aircraft become obsolete or experience a decline in customer demand, our ability to lease and sell those aircraft and our results of operations may be negatively impacted and may result in impairment charges; • potential conflicts of interest may arise from SMBC AC’s role as the exclusive servicer of our aircraft leased to non-U.S. airlines; • after the Merger, we no longer have an OEM orderbook, which may impact our ability to manage our aircraft portfolio and, if we are unable to obtain new and younger aircraft, it may increase our re-leasing risk and residual value risk; • aircraft have limited economic useful lives and depreciate over time and we may be required to record an impairment charge or sell aircraft for a price less than its depreciated book value which may impact our financial results; • we are dependent on the ability of our lessees to perform their payment and other obligations to us under our leases and their failure to do so may materially and adversely affect our financial results and cash flows; • we may experience increased competition from other aircraft lessors which may impact our ability to execute our long term strategy; • our lessees may fail to adequately insure our aircraft or fulfill their indemnity obligations, or we may not be able to adequately insure our aircraft or insurers may not fulfill their policy obligations, which may result in increased costs and liabilities; • other events affecting our business or the business of our lessees and aircraft manufacturers or their suppliers that are beyond our or their control, such as the threat or realization of epidemic diseases, natural disasters, terrorist attacks, war or armed hostilities between countries or non-state actors; and • any additional factors discussed under “Part I — Item 1A. Risk Factors,” in our Annual Report on Form 10-K for the year ended December 31, 2025, “Part II — Item 1A. Risk Factors,” in our Quarterly Report on Form 10-Q for the quarter ended March 31, 2026 and other Securities and Exchange Commission (“SEC”) filings, including future SEC filings. Non-GAAP Measures In addition to financial results prepared in accordance with U.S. generally accepted accounting principles, or GAAP, this presentation contains certain non-GAAP financial measures, including adjusted net income before income taxes and adjusted D/E. Management believes that adjusted net income before income taxes is helpful in evaluating the operating performance of our ongoing operations and identifying trends in our performance, because it removes the effects of certain non-cash items, and other items that we do not believe are indicative of our ongoing operations. In addition, management believes that adjusted D/E, which is defined as adjusted debt divided by adjusted equity, may further assist investors in their understanding of our capital structure and leverage. However, these non-GAAP measures should not be considered in isolation or as a substitute for analysis of our operating results, cash flows or leverage as reported under GAAP. Adjusted net income before income taxes does not reflect our cash expenditures or changes in our cash requirements for our working capital needs. In addition, our calculation of adjusted net income before income taxes and adjusted D/E may differ from the adjusted net income before income taxes and adjusted D/E, or analogous calculations of other companies in our industry, limiting their usefulness as a comparative measure. Investors and potential investors are encouraged to review the reconciliation of non-GAAP financial measures with their most direct comparable GAAP financial results set forth in the Appendix section, other than we are not providing a reconciliation for our non-GAAP adjusted D/E target, as we are unable to provide a meaningful calculation or estimation of reconciling items without unreasonable effort. This is due to the inherent difficulty of forecasting the timing or amount of items that would impact GAAP debt to equity that have not yet occurred, are out of our control or cannot be reasonably predicted. Forward-looking non-GAAP financial measures provided without the most directly comparable GAAP financial measures may vary materially from the corresponding GAAP financial measures. In addition, although U.S. GAAP requires that we report our results for the “predecessor” period before the merger and the “successor” period after the merger separately, our discussion of our third quarter results reflects successor -period results in order to compare and discuss such results with our third quarter 2025 results. Accordingly, the results for the three-month successor period ended September 30, 2026 and the three-month predecessor period ended September 30, 2025 may not be comparable and are not necessarily indicative of future results.
