Rhea-AI Filing Summary

Amber International Holding Ltd. (AMBR) and the other parties to the Framework Agreement terminated rights and obligations tied to Amber DWM Holding Limited’s proposed acquisition of 100% of WhaleFin Markets Limited from Amber Global Limited, effective October 16, 2026. The proposed transfer was conditioned on WhaleFin HK obtaining relevant licences.

The parties said WhaleFin HK would no longer pursue its pending application for Hong Kong Type 1 and Type 7 licences for a virtual asset trading platform and intended to withdraw it. Amber International said it expects only limited commercial benefits from those licences and no longer considers pursuing Hong Kong regulatory approval economically desirable. The amendment also terminates related arrangements unless the relevant parties agree otherwise in writing; other terms of the Framework Agreement and Merger Agreement remain in force. Amber International also reported obtaining required local regulatory approvals in Singapore and Dubai for the DWM Asset Restructuring.

Filing Explained

The amendment fully and irrevocably releases each party from further liabilities, claims, or responsibilities connected with the proposed WhaleFin HK transfer, in addition to terminating the parties’ transfer-related rights and duties.

Equity interests are an ownership stake in a company—usually represented by shares or membership units—that give the holder a claim on the business’s profits, assets and sometimes voting power. Think of it as owning one or more slices of a company’s pie: the bigger your slice, the larger your share of dividends, capital gains and influence, and the more you are affected by dilution or company losses. Investors use equity interests to measure value, control and potential returns.

Amber International Announces Update on Proposed Acquisition of WhaleFin Markets Limited

Amber International Holding Limited (“Amber International” or the “Company”) (NASDAQ: AMBR) today announced that, in light of the Company’s strategic business transformation toward building specialized AI agents for finance, enterprise and growth, and management's assessment of the expected contribution of the proposed licensed operation of WhaleFin Markets Limited (“WhaleFin HK”), a company incorporated in Hong Kong, the Company and the other parties to the Amendment, Waiver and Framework Agreement dated March 12, 2025 (the “Framework Agreement”) have determined that WhaleFin HK will no longer pursue its pending application to the Securities and Futures Commission of Hong Kong for the Type 1 and Type 7 licences in connection with the operation of a virtual asset trading platform and intended to withdraw it in accordance with applicable regulatory requirements.

As previously disclosed, Amber DWM Holding Limited, a direct, wholly owned subsidiary of the Company, proposed to acquire 100% of the equity interests in WhaleFin HK from Amber Global Limited (the “WhaleFin HK Equity Transfer”) pursuant to the Agreement and Plan of Merger dated November 29, 2024 (the “Merger Agreement”) and the Framework Agreement. The WhaleFin HK Equity Transfer was conditioned upon WhaleFin HK obtaining the relevant licences. As the Company expects only limited commercial benefits from the licences sought by WhaleFin HK, pursuing the relevant regulatory approval in Hong Kong is no longer considered economically desirable to the Company, and the proposed WhaleFin HK Equity Transfer will not proceed.

Accordingly, the Company and the other parties to the Framework Agreement entered into an amendment to the Framework Agreement, dated and effective October 16, 2026 (the “Amendment”), pursuant to which, among other things, the parties agreed to terminate their respective rights and obligations relating to the WhaleFin HK Equity Transfer. Except as expressly provided in the Amendment, the Framework Agreement and the Merger Agreement remain unchanged and in full force and effect in accordance with their respective terms. For more details of the Amendment, please refer to Exhibit 99.1 to this report on Form 6-K.

The Company has obtained the required local regulatory approvals in Singapore and Dubai in connection with the DWM Asset Restructuring (as defined in the Framework Agreement furnished as Exhibit 99.2 to the Company's report on Form 6-K dated March 12, 2025).
