Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

American Fusion, Inc. disclosed that JV CPA INC. resigned as its independent registered public accounting firm effective October 1, 2026, and engaged MBP Global LLP on October 20, 2026. MBP Global will audit the year ending December 31, 2026, and review interim financial information for the quarter ended September 30, 2026. American Fusion corrected its October 7 press release: JV CPA gave no reason for resigning, its letter agreed only with statements about JV CPA in the original report, and it did not review or approve the release.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Item 4.01 Changes in Registrant's Certifying Accountant Governance
The company changed its independent auditing firm, which may involve disagreements on accounting matters.
Auditor resignation effective October 1, 2026 JV CPA INC.
New auditor engaged October 20, 2026 MBP Global LLP
Interim review period ended September 30, 2026 Quarterly financial information
Annual audit period ends December 31, 2026 Consolidated financial statements
independent registered public accounting firm technical
"as its new independent registered public accounting firm"
An independent registered public accounting firm is an outside accounting company officially registered with the government regulator to examine and report on a public company's financial records and controls. Investors treat its reports like an impartial inspector’s certificate — they add credibility to financial statements, help spot errors or misleading claims, and reduce the risk that shareholders are relying on unchecked or biased numbers.
going concern financial
"substantial doubt about the Company's ability to continue as a going concern"
Going concern is the accounting assumption that a company will keep operating and meeting its obligations for the foreseeable future. The phrase matters most when a company or its auditors disclose substantial doubt about it, a formal warning that the business may not have enough resources to continue without raising money, restructuring, or selling assets. That language in a filing or press release signals elevated financial risk.
reportable events regulatory
"there were ... no “reportable events”"
Reportable events are significant incidents or changes a company is legally required to disclose to regulators and the public, such as major safety problems, legal actions, financial irregularities, or management changes. They matter to investors because these events can alter a company’s risk profile or future performance, much like a dashboard warning light signals a problem that could affect a car’s safety or reliability. Timely disclosure helps investors make informed decisions and maintain market fairness.
interim financial information financial
"review of the Company’s interim financial information"

EXPLANATORY NOTE

This Amendment No. 1 on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K of American Fusion, Inc. (the “Company”) filed with the Securities and Exchange Commission on October 6, 2026 (the “Original Report”), which reported the resignation of JV CPA INC. (“JV CPA”) as the Company’s independent registered public accounting firm. The Company is filing this Amendment to report the engagement of MBP Global LLP as its new independent registered public accounting firm, as required by Item 304(a)(2) of Regulation S-K. In addition, the Company is correcting its press release dated October 7, 2026, which incorrectly stated that JV CPA resigned citing health reasons and that JV CPA’s Exhibit 16.1 letter confirmed its agreement with the Company’s statements. JV CPA did not state any reason for its resignation, and the Company attributes none. JV CPA’s letter agrees only with the statements concerning JV CPA in paragraph (a) of Item 4.01 of the Original Report and states that JV CPA is not in a position to agree or disagree with the Company’s other statements. JV CPA did not review or approve the press release. Except as set forth herein, this Amendment does not amend or update any other information contained in the Original Report.

Item 4.01 Changes in Registrant’s Certifying Accountant.

(a) Resignation of Independent Registered Public Accounting Firm.

On October 1, 2026, JV CPA INC. (“JV CPA”) notified the Company that it resigned as the Company’s independent registered public accounting firm, effective October 1, 2026. JV CPA’s resignation applies to all further audit and review services, including the review of the Company’s interim financial information for the quarter ended September 30, 2026 and the audit of the Company’s financial statements for the year ending December 31, 2026.

JV CPA’s report on the Company’s consolidated financial statements as of and for the years ended December 31, 2025 and 2024 did not contain an adverse opinion or a disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope or accounting principles, except that such report contained an explanatory paragraph regarding substantial doubt about the Company’s ability to continue as a going concern.

During the Company’s fiscal years ended December 31, 2025 and 2024 and the subsequent interim period through October 1, 2026, there were (i) no “disagreements” (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) with JV CPA on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of JV CPA, would have caused JV CPA to make reference to the subject matter of the disagreements in connection with its reports, and (ii) no “reportable events” (as defined in Item 304(a)(1)(v) of Regulation S-K).

The Company provided JV CPA with a copy of the disclosures contained in the Original Report and requested that JV CPA furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the statements made therein. A copy of JV CPA’s letter, dated October 6, 2026, was filed as Exhibit 16.1 to the Original Report.

(b) Engagement of New Independent Registered Public Accounting Firm.

On October 20, 2026, the Company engaged MBP Global LLP (“MBP Global”) as its new independent registered public accounting firm to audit the Company’s consolidated financial statements for the year ending December 31, 2026 and review its interim financial statements for the quarter ended September 30, 2026.

During the Company’s fiscal years ended December 31, 2025 and 2024 and the subsequent interim period through October 20, 2026, neither the Company nor anyone acting on its behalf consulted with MBP Global regarding

(i)the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report nor oral advice was provided to the Company that MBP Global concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or
(ii)any matter that was the subject of a “disagreement” (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions);
(iii)or any “reportable event” (as defined in Item 304(a)(1)(v) of Regulation S-K).
