Regained Compliance with Nasdaq’s Continued Listing Requirement 

On August 5, 2025, AirNet Technology Inc. (“AirNet” or the “Company”) received a written notification from the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it has regained compliance with Nasdaq Listing Rule 5550(b), which requires the Company to meet at least one of the following standards: (1) stockholders’ equity of at least $2.5 million; (2) market value of listed securities of at least $35 million; or (3) net income from continuing operations of $500,000 in the most recently completed fiscal year or in two of the three most recently completed fiscal years.

The Company was previously notified by Nasdaq on May 13, 2025 that it did not comply with the minimum continued listing requirements set forth under Nasdaq Listing Rule 5550(b). On August 5, 2025, Nasdaq made the compliance determination based on the fact that for the ten consecutive business days, from July 22 through August 4, 2025, the Company’s market value of listed securities has been $35,000,000 or greater and, therefore, this matter is now closed.
